Operating Criteria definition

Operating Criteria means those matters set out in the Third Schedule to the Lease
Operating Criteria means the operating criteria and other relevant policies of the County’s Neighbourhood, Children and Fire Services Division, as posted on the County’s website and as amended or replaced from time to time;
Operating Criteria means one or any combination of the following criteria: (i) collections; (ii) customer service; (iii) economic development, (iv) electric, gas, and/or steam system performance; (v) employee development; (vi) safety; (vii) environmental performance, financial, regulatory controls, and business development goals; (viii) gross margins, and (ix) retail sales.

  • Operator shall not enter into any service contract, agreement for services or other agreement requiring a monetary commitment on behalf of the Club, unless same is contemplated in the Operating Criteria and is in compliance with the Approved Budget.

  • The purpose of the OC is to supervise the management of the Lamaque Project (being the development of mining operations at the Sigma and Lamaque underground mines, the Sigma open-pit mine, the Lamaque open-pit mine, and the Sigma mill located in Abitibi County, Québec) (the “Project”) until the Operating Criteria (as defined below) has been satisfied.

  • ProLogis Trust shall procure that any subsidiary which owns any property which satisfies the Investment and Operating Criteria shall offer such property (or the company which owns it), to the Management Company on behalf of the Fund as if such subsidiary had been identified in the Agreement as a PLD Party.

  • Upon satisfaction of the Operating Criteria, the OC will be dissolved.

  • Without limiting the foregoing, Operator shall, on behalf of Owner, implement, or cause to be implemented, the decisions of Owner with respect to the Club and shall conduct the ordinary and usual business of the Club as provided in this Agreement and the Operating Criteria.


More Definitions of Operating Criteria

Operating Criteria means the Project reaching an annualized run rate of at least 75,000 ounces of gold over a period of at least four (4) consecutive months at a cash cost of US$500 or less per ounce; such run rate shall be verified by DB (in connection with the Forward Gold Purchase Agreement) or by a third party appointed by DB based upon refined gold receipts issued by Xxxxxxx Xxxxxxx and Royal Canadian Mint and changes in the mill and mine inventory; such cash cost will be calculated from the operation costs of the Project based on the World Gold Council criteria and confirmed by the Company’s auditors.
Operating Criteria means the Project reaching an annualized run rate of at least 75,000 ounces of gold over a period of at least four (4) consecutive months at a cash cost of US$500 or less per ounce; such run rate shall be verified by Deutsche Bank AG (in connection with the forward gold purchase agreement dated December 22, 2009 between the Corporation and Deutsche Bank AG) or by a third party appointed by Deutsche Bank AG based upon refined gold receipts issued by Xxxxxxx Matthey and Royal Canadian Mint and changes in the mill and mine inventory; such cash cost will be calculated from the operation costs of the Project based on the World Gold Council criteria and confirmed by the Corporation’s auditors.
Operating Criteria means the operating criteria for each Rating Agency, or both operating criteria together, as described in the section "The Issuers Business - Operating Criteria" below;

  • Rating Criteria with respect to any Person, means that (i) the short-term unsecured debt obligations of such Person are rated at least “A-1” by S&P, “P-1” by Xxxxx’x and “F-1” by Fitch, if deposits are held by such Person for a period of less than one month, or (ii) the long-term unsecured debt obligations of such Person are rated at least “AA-” by S&P, “Aa3” by Xxxxx’x and “AA-” by Fitch, if deposits are held by such Person for a period of one month or more.

  • ASAM criteria means the most current edition of the American Society of Addiction Medicine's published criteria for admission to treatment, continued services, and discharge.

  • Qualifying Criteria means the criteria outlined in Section 3 and which is used to determine whether an individual is eligible to receive criminal Legal Aid;

  • Servicing Criteria means the “servicing criteria” set forth in Item 1122(d) of Regulation AB.

  • Fitch Criteria means the Collateral Amount shall equal the sum of (i) the product of A multiplied by the xxxx-to-market value of the outstanding Transactions determined by Party A in good faith from time to time, and (ii) the product of B multiplied by the current aggregate notional amount of the outstanding Transactions, where:

  • Review Criteria has the meaning assigned to that term in Section 12.02(b)(i).

  • Evaluation Criteria means the criteria set out under the clause 27 (Evaluation Process) of this Part C, which includes the Qualifying Criteria, Functional Criteria and Price and Preferential Points Assessment.

  • Board-Established Criteria means criteria that the Board of a Regulated Fund may establish from time to time to describe the characteristics of Potential Co-Investment Transactions regarding which the Adviser to the Regulated Fund should be notified under Condition 1. The Board-Established Criteria will be consistent with the Regulated Fund’s Objectives and Strategies (defined below). If no Board-Established Criteria are in effect, then the Regulated Fund’s Adviser will be notified of all Potential Co-Investment Transactions that fall within the Regulated Fund’s then-current Objectives and Strategies. Board-Established Criteria will be objective and testable, meaning that they will be based on observable information, such as industry/sector of the issuer, minimum EBITDA of the issuer, asset class of the investment opportunity or required commitment size, and not on characteristics that involve a discretionary assessment. The Adviser to the Regulated Fund may from time to time recommend criteria for the Board’s consideration, but Board-Established Criteria will only become effective if approved by a majority of the Independent Directors (defined below). The Independent Directors of a Regulated Fund may at any time rescind, suspend or qualify their approval of any Board-Established Criteria, though Applicants anticipate that, under normal circumstances, the Board would not modify these criteria more often than quarterly.

  • Relevant Servicing Criteria The Servicing Criteria applicable to a specific party, as set forth on Exhibit O to this Agreement. For clarification purposes, multiple parties can have responsibility for the same Relevant Servicing Criteria. With respect to a Servicing Function Participant engaged by the Master Servicer, the Special Servicer or the Certificate Administrator, the term “Relevant Servicing Criteria” may refer to a portion of the Relevant Servicing Criteria applicable to the Master Servicer, the Special Servicer or the Certificate Administrator.

  • Compliance schedule means a schedule of events, by date, which will result in compliance with these regulations.

  • Functional Criteria means the criteria set out in clause 27 of this Part C.

  • Pre-Qualifying Criteria means the criteria set out in clause 27.3 of this Part C.

  • Business Critical means any function identified in any Statement of Work as Business Critical.

  • Criteria means one of the eight (8) state defined categories to be scored.

  • Individual Objectives means as to a Participant, the objective and measurable goals set by a “management by objectives” process and approved by the Committee (in its discretion).

  • Over-Riding Nomination Criteria means the criteria set out in clause 4.2.

  • Nomination Criteria means the criteria made up of the Over-Riding Nomination Criteria andthe Specific Nomination Factors, and is also referred to as “this Criteria”.

  • Performance Targets means the specific objective goal or goals (which may be cumulative and/or alternative) that are timely set in writing by the Committee for each Executive for the Performance Period in respect of any one or more of the Business Criteria.

  • Investment Criteria The criteria specified in Section 12.2(a).

  • Performance Standards or “PS” shall mean the cleanup levels and other measures of achievement of the remedial action objectives, as set forth in the ROD.

  • Award Criteria means the award criteria to be applied for the direct award of Call Off Agreements for Goods and/or Services set out in Part A of Framework Schedule 6 (Award Criteria); Dispute means any dispute, difference or question of interpretation arising out of or in connection with this Framework Agreement, including any dispute, difference or question of interpretation relating to the Goods and/or Services, failure to agree in accordance with the procedure for variations in Clause 16.1(Variation Procedure) or any matter where this Framework Agreement directs the Parties to resolve an issue by reference to the Dispute Resolution Procedure;
