Mortgaged Shares definition

Mortgaged Shares means all shares owned by the Chargor and all rights, benefits and advantages now or at any time in the future deriving from or incidental to any such shares (excluding any shares and related rights mortgaged and/or charged pursuant to the Cayman Share Mortgage) including all:

Mortgaged Shares means the Initial Shares and additional certificated shares of Listco pledged to the Mortgagee in accordance with the terms of the Facility Agreement from time to time;

Mortgaged Shares shall have its meaning as defined in the Share Mortgage.

Examples of Mortgaged Shares in a sentence

• Notwithstanding any other provisions of the Memorandum and Articles of Association of the Company (but for the duration of the Security Period only), the provisions of Articles 13 to 15 (inclusive) shall not apply to the Mortgaged Shares and no such Mortgaged Share shall, during the Security Period, be subject to a lien, a call or forfeiture pursuant to the Articles.

• Within thirty (30) days following the Closing Date, the Borrowers shall deliver to the Collateral Agent (i) the share certificate(s) in respect of the Mortgaged Shares (as defined in the Equitable Mortgage Over Shares with respect to Xxxxxxxx Maritime Enterprises, Ltd.), and (ii) a duly executed but undated share transfer form.

More Definitions of Mortgaged Shares

Mortgaged Shares means the 1,000,000 shares in the capital of Tianjin Development held by the Chargor to be mortgaged hereunder and for the time being subject to the charge created hereunder;

Mortgaged Shares has the meaning assigned thereto in the definition of Mortgaged Property.

Mortgaged Shares means the Initial Shares now or at any time in the future beneficially owned by the respective Mortgagors and all rights, benefits and advantages now or at any time in the future deriving from or incidental to any of the Mortgaged Shares including:

Mortgaged Shares means such relevant shares in the Mortgaged Cayman Subsidiary as identified as such in Schedule 2 hereof, together with sixty-five percent (65%) of any future shares issued by the Mortgaged Cayman Subsidiary to the Mortgagor after the date hereof as provided in Clause 4.2 below, other than shares in the Mortgaged Cayman Subsidiary which have been released pursuant to Clause 8 hereunder;
