Examples of ASA Shares in a sentence

  • In the event of any such withdrawal or removal and replacement of the Administrator, any unvested ASA Shares shall be forfeited as of the effective date of such withdrawal or removal and such ASA Shares shall no longer be deemed to be issued and outstanding for any purposes of this Agreement.

  • In addition, China International Mining Group Corporation has given a letter of intent in respect of 275,338,243 ASA Shares, representing 16.27 per cent.

  • RPI does not intend to seek a cancellation of the admission of the ASA Shares to trading on AIM, unless maintaining such admission would not, after the Offer has become or been declared unconditional in all respects, be viable or practicable in view of the requirements of the London Stock Exchange or the AIM Rules.

  • Only should it not be viable or practicable to maintain the admission to trading on AIM subsequent to the Offer becoming or being declared unconditional in all respects and to any applicable requirements of the London Stock Exchange and the AIM Rules, would RPI procure that ASA applies for cancellation of the admission of the ASA Shares to trading on AIM.

  • Its main assets, other than the ASA Shares that it owns and the cash required to satisfy in full the cash consideration payable by it to ASA Shareholders under the Offer, are a majority investment in Hailiang International Holdings Plc (which is an investment holding company principally engaged in the sale of metals, semiconductors and related products) and certain debts that are outstanding to it.

Related to ASA Shares

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Sold Shares shall have the meaning specified in Section 6.

  • Newco Shares means the common shares in the capital of Newco;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Company Shares means the common shares in the capital of the Company;

  • Amalco Shares means the common shares in the capital of Amalco;

  • Sale Shares shall have the meaning given to it in Recital (B);

  • Acquired Shares has the meaning set forth in the Recitals.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Subco Shares means the common shares in the capital of Subco.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Series A Shares means the series A redeemable convertible preferred shares, par value US$0.0001 per share, of the Company.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Coop Shares Shares issued by a Cooperative Corporation.
