The Transferred Shares sold by such Seller hereunder, when issued were, and remain, fully paid, duly authorized and validly issued in compliance with all applicable federal and state securities laws.
Assuming the representations made by Purchasers in this Agreement are true and correct, Seller represents that the Transferred Shares are being transferred under an exemption or exemptions from the registration and qualification requirements of the Securities Act and any other applicable securities laws.
