Marketing Expense definition

Marketing Expense means all reasonable out-of-pocket costs and all internal costs on an FTE basis equal to Xxxxxx’x then applicable FTE Rate, annually for those individuals fully dedicated to the Product incurred by the Parties that are directly attributable to the following functions for the sale, promotion and marketing of a Co-Developed Product in the Co-Development Territory: (a) market research on such Co-Developed Product, (b) marketing communications, (c) corporate accounts, (d) managed care, (e) sales force training, (f) product hotlines, (g) reimbursement support, (h) contracting, (i) pricing, (j) conducting compassionate use programs and for domestic Phase IV studies for Co-Developed Products (including without limitation fully absorbed manufacturing costs for any Co-Developed Product utilized in such compassionate use programs) and (k) telemarketing services. Marketing Expense shall not include any General Public Relations or any other activities that promote the business of Xxxxxx or Xxxxxx as a whole without specifically referencing any Co-Developed Product.
Marketing Expense means to the extent approved by the Marketing Committee all costs and expenses incurred by Warner (including without limitation, the salaries, commissions, bonuses, transportation, meals, lodging, benefits and healthcare insurance expenses of appropriate employees) associated with launch, advertising and sales promotion (including, without limitation, expenses related to promotional publications, space or time in various media, direct mail campaigns, samples, if any, advertising agency fees and other promotional activities), the cost of product samples, Phase IV Studies, Pharmacoeconomic Studies, Phase V Studies, and any other clinical studies not reasonably necessary to obtain marketing approval by the relevant regulatory authorities for a Product's first approved indication in any country, in each case determined in accordance with Warner's normal internal accounting practices and GAAP.
Marketing Expense. In the event that the Property does not sell during the terms of this Agreement, Seller/Landlord shall nonetheless be obligated to reimburse Listing Agency for actual expenses incurred in marketing the Property for sale up to the amount of $ 2,000.00.
