Offering Expenses definition

Offering Expenses means in respect of each Series, the following fees, costs and expenses allocable to such Series or such Series pro rata share (as determined by the Allocation Policy, if applicable) of any such fees, costs and expenses allocable to the Company incurred in connection with executing the Offering, consisting of underwriting, legal, accounting, escrow and compliance costs related to a specific offering. Officers means any president, vice president, secretary, treasurer or other officer of the Company or any Series as the Managing Member may designate (which shall, in each case, constitute managers within the meaning of the Delaware Act).
Offering Expenses means in respect of each Series, the following fees, costs and expenses allocable to such Series or such Series pro rata share (as determined by the Allocation Policy, if applicable) of any such fees, costs and expenses allocable to the Company incurred in connection with executing the Offering, consisting of underwriting, legal, accounting, escrow and compliance costs related to a specific offering.
Offering Expenses shall have the meaning assigned to it in Section 4.6(a).

  • The Investment Manager will determine what Organizational and Offering Expenses are attributable to the Partnership or any Feeder Fund, Parallel Fund or Intermediate Entity, in its sole discretion.

Offering Expenses. Expenses paid or incurred in connection with the issuing and marketing of Company Units, including brokerage fees, finder’s fees, selling commissions, state (“Blue Sky”) filing fees, legal fees of the Issuer and/or the Managers for consultations relating to the requirements of the applicable federal, state and foreign securities laws and for tax advice pertaining to the adequacy of tax disclosures in the Offering Materials, accounting fees, if any, for preparation of financial projections to be included in the Offering Materials and printing/binding costs of such Offering Materials.
