The Seller shall use reasonable efforts to ensure that applicable Licensor diligently files, prosecutes and maintains all such In-Licensed Patent Rights in the Major Markets.
Promptly, and in any event within [***], after receipt of any (written or oral) notice from the applicable Licensor or any of its Affiliates of an alleged material breach under any In-License by Seller or its Affiliates, the Seller shall provide the Buyer with a copy (or, in the case of an oral notice, reasonably detailed summary) thereof.

The Seller shall, or shall cause another Related Party to, use Commercially Reasonable Efforts to file, prosecute, and maintain in the Major Markets all Patent Rights other than the In-Licensed Patent Rights for which a Licensor is responsible for enforcement or defense in accordance with the terms of the applicable In-License.
