  • IDEAYA shall notify Licensee of any (i) material breach, written threat of termination or termination of the Pfizer Agreements, or (ii) communication received from Pfizer or any of its affiliates or successors alleging any material breach, default or other issue relating to the Pfizer Agreements, in each case ((i)-(ii)), that would reasonably be expected to materially adversely affect Licensee’s rights to, or Exploitation of, the Licensed Product in combination with the Pfizer Product.
