Authority to License. APHL has authority to license Technology Resources to Participant and to use Technology Resources (including RCTCs), the AIMS Platform, and the RCKMS as provided in this Agreement. Federal Program Eligibility. APHL is not excluded, debarred, or otherwise ineligible from participating in Federal Programs. APHL shall immediately provide Notice to Participant if it is suspended, proposed for debarment or other exclusion, or otherwise disqualified or declared ineligible from participating in a Federal Program for any reason, or is a party to a legal proceeding that may result in any such action.
Authority to License. Licensor represents and warrants that it has full power and authority to enter into this Agreement and grant the licenses, and that nothing in this Agreement violates any other agreement of Licensor.
Authority to License. Akesis represents and warrants to GS that: (i) Akesis has full power and authority to grant the rights granted by this Agreement to GS, that no consent of any other person or entity is required by Akesis to grant such rights other than consents that have been obtained and are in effect, and that neither the performance of this Agreement by Akesis, nor the license to GS of the Licensed Technology or Products will in any way violate any non-disclosure agreement, (ii) there are no outstanding liens, encumbrances, agreements or understandings of any kind, either written, oral or implied, regarding the Licensed Technology which are inconsistent or in conflict with any provision of this Agreement, and (iii) to Akesis' knowledge, neither the practice of the Licensed Technology as practiced by Akesis up to the Effective Date, nor the Commercialization of Products as Commercialized by Akesis up to the Effective Date, infringes the intellectual property rights of any Third Party in the Territory.
Authority to License. Licensor has all requisite power and authority to grant the License to Turbon pursuant to this Agreement, and such License grant does not violate any other agreement to which Licensor or by which it is bound.
