Issuer Expenses. With respect to the Collateral Pool, the costs and expenses relating to the Collateral Pool for (i) general liability insurance policies maintained by the applicable Issuers as owners of the Mortgaged Properties, or such Issuers’ respective proportionate shares of premiums with respect to general liability insurance policies maintained by Affiliates of such Issuers, (ii) casualty insurance policies maintained by the applicable Issuers, or such Issuers’ respective proportionate shares of premiums with respect to casualty insurance policies maintained by Affiliates of such Issuers, to insure casualties not otherwise insured by any related Tenant due to a default by such Tenant under the insurance covenants of its Lease or because any related Tenant permitted to self-insure fails to pay for casualty losses, and (iii) state franchise taxes prohibited by law from being passed through by an Issuer as lessor to a Tenant.
Issuer Expenses. For any Collection Period an amount equal to overhead and all other costs, expenses and liabilities of the Issuer (other than Operating Expenses paid pursuant to the Management Agreement and any Management Fee) payable during such Collection Period (including costs and expenses permitted to be paid to or by the Manager in connection with the conduct of the Issuer’s business), in each case determined on a cash basis, including but not limited to the following:

  • Fair Market Value.− Adjusted for Issuer Expenses and Costs:Applicable.

  • The Agency shall pay to the Trustee or the Issuer (as applicable) the Agency Proportionate Share of all Trustee Expenses and Issuer Expenses.

More Definitions of Issuer Expenses

Issuer Expenses means the expenses of the Issuer attributable to the Notes, excluding (i) any expenses payable by the Issuer to the Trustee, the Custodian, the Paying Agent, the Issue Agent and the Calculation Agent in respect of the Notes and(ii) any increased costs incurred by the Issuer as described in Condition 6(a)(b)(i)(C)(z) up to an aggregate maximum amount (for (i) and (ii) together) in any year (commencing on the Issue Date and any anniversary thereof) of EUR50,000 which will be borne by the Principal Protection Provider;
Issuer Expenses means an amount equal to the expenses of the Issuer in connection with the issue of the Notes.
Issuer Expenses. For any Collection Period, direct out-of-pocket expenses that are necessary or advisable, in the opinion of the managers of the Issuer, to maintain the corporate existence of the Issuer, including: administration expenses; accounting and audit expenses of the Issuer; premiums for liability, casualty, fidelity, directors’ and officers’ and other insurance; legal fees and expenses; other professional fees; franchise taxes and other similar taxes (but excluding income taxes); and surveillance and other fees assessed by the Rating Agencies.
Issuer Expenses means any fees, liabilities and expenses, in relation to this transaction, payable by the Issuer to the following parties (or any successor): Servicer (to the extent the Servicer is not UCI Portugal), the Transaction Manager, the Paying Agent, the Accounts Bank, the Agent Bank and any Third Party Expenses that would be paid or provided for by the Issuer on the following Interest Payment Date, including the Issuer Transaction Revenues and any other costs incurred by the Issuer in connection with exercising or complying with its rights and duties under the Transaction Documents.
Issuer Expenses. All operating expenses of the Issuer (exclusive of interest on the Notes, but including the fees and expenses of the Owner Trustee, the Trustee, the Successor Servicer and the Servicing Fee).
