The Initial Notes issued on the Issue Date shall be (i) offered and sold by the Bank to the Initial Purchasers and (ii) resold, initially only to Institutional Accredited Investors.
Subject to Section 5.1(c)(2), a Holder may convert its Notes at any time from, and including, the Issue Date until the Close of Business on the second (2nd) Scheduled Trading Day immediately before the Maturity Date.
On the Issue Date, there will be originally issued two-hundred and thirty-five million ($235,000,000) aggregate principal amount of Notes, subject to the provisions of this Indenture (including Section 2.2).

Interest on the Notes will accrue from and including the Issue Date or from and including the most recent Interest Payment Date (whether or not such Interest Payment Date was a Business Day) for which interest has been paid or provided for with respect to the notes to, but excluding, the next Interest Payment Date, Redemption Date, or the Maturity Date, as the case may be.
