Guarantor Subordination Agreement definition

Guarantor Subordination Agreement means the amended and restated subordination agreement subordinating Subordinated Shareholder Loans made to any LTV Guarantor, dated on or about the Amendment Closing Date, made by and among the LTV Guarantors, Gazit-Globe, the Guarantor Shareholders, the Bank, BLL and the Collateral Agent.

Guarantor Subordination Agreement means a Guarantor Subordination Agreement substantially in the form of Exhibit G attached hereto, executed and delivered by a Guarantor and one or more of its Affiliates, as required by Section 6.10, as it may hereafter be amended, supplemented, restated, amended and restated or otherwise modified from time to time.

Guarantor Subordination Agreement means a subordination agreement in the form of that attached hereto as Exhibit F.

Guarantor Subordination Agreement shall have the meaning given such term in PARAGRAPH 1(k) above. "GUARANTY" shall have the meaning given such term in PARAGRAPH 1(k) above. "HAZARDOUS MATERIALS" shall mean any flammable materials (excluding wood products normally used in construction), explosives, radioactive materials, hazardous wastes, toxic substances or related materials, including, without limitation, any substances defined as or included in the definitions of "hazardous substances," "hazardous wastes," "hazardous materials," "special wastes," "solid wastes" or "toxic substances" under any applicable federal, state, county, regional or local laws, ordinances, regulations or guidelines. "HAZARDOUS MATERIALS CLAIMS" shall mean any enforcement, cleanup, removal or other governmental or regulatory action or order, or any governmental claim for damages or other compensation, with respect to the Property, made under or pursuant to any Hazardous Materials Laws, and/or any claim asserted in writing by any third party relating to damage, contribution, cost recovery or other compensation, loss or injury resulting from any Hazardous Materials. "HAZARDOUS MATERIALS EVENT" shall have the meaning given such term in PARAGRAPH 5(j)(4) above. "HAZARDOUS MATERIALS LAWS" shall mean any applicable federal, state, county, regional or municipal laws, ordinances, regulations or guidelines relating to Hazardous Materials.

Guarantor Subordination Agreement means the amended and restated subordination agreement governed by the law of the State of New York in form and substance substantially similar (but with such conforming changes as may be reasonably necessary) to the “Guarantor Subordination Agreements” executed by the Company, the US Guarantors and the US Guarantor Shareholders as a condition precedent to the 2011 Amending Agreement and otherwise reasonably satisfactory to the Bank and BLUSA, to be made by and among the Collateral Agent, the Bank, BLUSA, the Company, the LTV Guarantors and the Guarantor Shareholders, pursuant to which, inter alia, all Subordinated Shareholder Loans to any LTV Guarantor are to be subordinated to the Secured Obligations;

Guarantor Subordination Agreement means the subordination agreement governed by the law of the State of New York in form and substance satisfactory to the Bank and BLUSA in their respective absolute discretion to be made by and among the Collateral Agent, the Bank, BLUSA, the Company, the US Guarantors and the Guarantor Shareholders, pursuant to which, inter alia: all Subordinated Shareholder Loans to any US Guarantor are to be subordinated to the Secured Obligations;

Guarantor Subordination Agreement means: (a) for each Existing Guarantor, the subordination agreement delivered by such Existing Guarantor in connection with the Existing Credit Agreement, and (b) for each Guarantor Subsidiary which becomes such following the Effective Date, a subordination agreement in the form of that attached hereto as Exhibit F, as in any case the same may be amended, extended and replaced from time to time.

Guarantor Subordination Agreement means the subordination agreement between the Guarantor and Agent dated as of the Closing Date, as amended, supplemented, extended, modified or restated from time to time.

Guarantor Subordination Agreement means a subordination agreement between Agent and Mxxxxxx X. Xxxxxx with respect to the indebtedness of Enservco to Mx. Xxxxxx for services rendered to the Borrowers) in form and substance satisfactory to Agent in its Permitted Discretion.
