Tenant hereby represents and warrants to Landlord that said authorized representative has authority to approve the Final Project Plans, as well as the authority to approve modifications to the Working Drawings.
When Landlord requests Tenant to specify details or layouts, Tenant shall promptly do so, subject to the provisions of the Final Project Plans, so as not to delay completion of the Improvements.
Final Project Plans and Final Project Budget shall be approved by both Landlord and Tenant in accordance with the terms of the Work Letter attached hereto as Exhibit G.
Unless specifically agreed to by Landlord, the Improvements shall not include any Tenant Improvements (as hereinafter defined), whether or not such Tenant Improvements are described in the Final Project Plans.
Extra work or change orders requested by either Landlord or Tenant after the Plans Approval Date (each a “Proposed Change Order”) shall be made in writing, shall specify in detail any added or reduced cost and/or estimate of construction delay resulting therefrom, and shall become effective and a part of the Final Project Plans once approved in writing by both Landlord and Tenant (a “Change Order”).
Without limitation of the foregoing, as further consideration for Herndon conveying the Property to ▇▇▇▇▇▇▇▇, after the Closing (but subject to the pre-Closing design obligations set forth in Article 4) ▇▇▇▇▇▇▇▇ shall coordinate construction of the Project in its entirety in accordance with the Final Project Plans and the terms and conditions of this Agreement.
Landlord and Tenant acknowledge and agree that certain allowances (such allowances, together with any allowances that may be included in the Final Project Plans or that are agreed upon between Landlord and Tenant are collectively referred to herein as the “Allowances”) are included in the Landlord’s estimate of the costs for construction and reflected in the Base Rent amount.
Tenant hereby appoints ▇▇▇▇▇▇ ▇▇▇▇ as its duly authorized representative to review and approve the Working Drawings and the Final Project Plans, so as not to unreasonably delay completion of the Improvements.
Any studies, reports, inspections, or other documentation in the possession or control of Herndon and not yet provided to ▇▇▇▇▇▇▇▇ or which become available after the Effective Date, regarding the condition of the Property, the proposed development of Project, or otherwise relevant for ▇▇▇▇▇▇▇▇’▇ due diligence and inspection of the Property and creation of detailed Final Project Plans shall be promptly delivered to ▇▇▇▇▇▇▇▇.
The Improvements shall be constructed in a good and workmanlike manner, substantially in accordance with the Final Project Plans completed substantially in accordance with all applicable statutes, ordinances and building codes, governmental rules, regulations and orders relating to construction of the Improvements (but not relating to Tenant’s use or occupancy) (“Applicable Laws”).
