Employee Releasees definition

Employee Releasees shall include the Employee, and his family, heirs, executors, representatives, agents, insurers, administrators, successors, assigns, and any other person claiming through the Employee.

Employee Releasees means Employee, for himself and for his heirs, executors, administrators, trustees, legal representatives, and assigns. It is explicitly agreed, understood, and intended that the general release of claims provided for in this Agreement by Company shall not include or constitute a waiver of Company’s or the Company Releasees’ rights under Company’s Xxxx-Xxxxx Xxxxxxxx Policy, a copy of which is attached as Exhibit 97.1 to Company’s Form 10-K filed with the Securities and Exchange Commission on March 26, 2024.

Employee Releasees is an intended beneficiary of this consideration.

• The Company acknowledges that it intends to waive and release all rights known or unknown that it may have against the Employee Releasees under these and any other laws, as permitted by applicable laws, to the extent provided herein.

• The Company hereby agrees to forego any right to file any charges or complaints with any governmental agencies or any legal action against the Employee Releasees under any of the laws referenced in this paragraph or with respect to any of the foregoing claims.

• Notwithstanding the generality of the foregoing, the Parties hereby agree that the covenant not to xxx, discharge, and release of claims provided in this Section 5 shall not extend to any claims by MPIC, its subsidiaries or its related companies against Employee or the Employee Releasees involving currently unknown intentional or malicious misconduct arising out of or related to Employee’s employment, including claims involving embezzlement, fraud, or the intentional breach of fiduciary duties.

• This Separation Agreement is not and shall not be construed or contended by Employee to be an admission or evidence of any wrongdoing or liability on the part of the Company Releasees or Employee Releasees, their representatives, heirs, executors, attorneys, agents, partners, officers, shareholders, directors, employees, subsidiaries, affiliates, divisions, successors or assigns.

• Employee agrees to assist the Employer or Employer Releasees as a witness or during any audit, investigation, or litigation (including depositions, affidavits and trial) if requested by the Employer or Employee Releasees.

Employee Releasees mean Employee and his spouse and dependents, and their successors and assigns, none of whom admit any liability, but all of whom expressly deny any such liability.
