Developer Technology definition

Developer Technology means all Technology provided by Developer, including but not limited to Developer Confidential Information, the Library Monitor Software and its related Add-on Modules.
Developer Technology means (a) any and all software and related source code and object code, the Smart Online Applications (as defined below), technology, algorithms, formulas, methods, processes, techniques and know-how; and (b) any and all of Developer’s trademarks, service marks, and trade dress (“Developer Marks”) that are created, conceived, used, or otherwise developed, licensed or acquired by Developer or embodied or otherwise incorporated in, or used to operate or provide access to, the Portal System (but specifically excluding Company Marks or any marks or designations that incorporate, or are substantially similar to the Company Marks), in whole or in part, and all inventions and works of authorship included in the foregoing, excluding the Company Information and Portal Content.
Developer Technology means any and all existing software, technology, know‑how, algorithms, procedures, techniques, and solutions associated with the use, design, development, testing, and distribution of the Custom Work Product and improvements to such existing software and related technology, which technology is owned by Developer or its suppliers and used by Developer in the development effort hereunder.

  • Derivative Works of Developer Technology will be owned exclusively by Developer whether or not developed solely by Developer, solely by Sun, or jointly by both parties.

  • Sun acknowledges that it acquires no rights under this Agreement to Developer Technology or Derivative Works thereof, other than the limited rights, if any, specifically granted in this Agreement.

  • If Developer uses any of its Developer Technology in any of the Works, Client will: (i) not acquire any proprietary or ownership rights to any of Developer Technology by virtue of this Agreement; and (ii) agree not to market or use any Developer Technology as an independent "stand-alone" program without the prior written consent of Developer.

  • Notwithstanding the forgoing, neither Company nor any of its affiliates, agents, officers, employees or assigns shall be liable for any unauthorized use of the Developer Technology or Portal System by Company Members; provided that Company shall use commercially reasonable measures to prevent Company Members from unauthorized use of the Developer Technology or Portal System.

  • The parties acknowledge and agree that the licenses set forth above shall not be read to grant to TOWER any license to any portion of the Licensed Products other than that portion implementing the Developer Technology.

  • To the extent that any Developer Technology is embodied in any of the Deliverables, Developer hereby grants Client, upon full and final payment to Developer hereunder, a royalty-fee, fully paid-up, world-wide, non-exclusive license to use such Developer Technology in connection with the Deliverables.

  • Notwithstanding the provisions of Section 6.1 of this Agreement, the Par acknowledge and agree that: (a) Developer may use its proprietary information software (collectively, Developer Technology) in providing Services, and Deliverables, to Client; and (b) Developer shall retain full ownership over its Developer Technology.
