Project IP definition

Project IP means any Intellectual Property created, invented or discovered in carrying out the Project including in respect of the Project Results but does not include Background IP or copyright in a Student’s thesis or other material produced by him/her for the purpose of assessment towards his/her degree.
Project IP means the Intellectual Property Rights in the Deliverables and all other goods, materials, documents or data created in the performance of the Supplier's obligations under the Contract;
Project IP means all Intellectual Property Rights arising or created by Deswik or a third party exclusively for the Client in performing the Services, but does not include Deswik Background IP. Proposal means the proposal provided by Deswik to the Client in respect to the Services. Protected Code means any source code which Deswik or a third party has taken steps to protect from Access.

  • Safekeeping The Consultant is responsible for the safekeeping and maintenance of the MLA Material and the Project IP and must ensure that the MLA Material and the Project IP are used, copied, supplied or reproduced only for the purposes of this Agreement.

  • The Consultant grants MLA a non-exclusive, perpetual, irrevocable, royalty free licence (including the right to sub-licence) to use the Consultant Background IP to the extent required to enable MLA to use the Project IP.

  • The Consultant assigns all Project IP to MLA as and when it is created, whether developed prior to the date of the Statement of Work, existing as at the date of the Statement of Work or created afterwards.

  • Where the Consultant engages an agent or contractor to provide any of the Services, the Consultant must ensure that the agent or contractor assigns to MLA all Project IP as and when it is created.

  • The Consultant acknowledges that MLA intends to use, copy and reproduce the Project IP as MLA sees fit and agrees that if the Project IP incorporates any third party content (such as music or artistic works) the Consultant must ensure that such third party content does not have any restrictions placed on it.


More Definitions of Project IP

Project IP means all Intellectual Property Rights created or developed as part of performing the Project but does not include Intellectual Property Rights in Background IP, Improvements, and copyright in a Student’s thesis. Project Obligations of a party means that party’s obligations in relation to the Project as specified in Schedule 2.

Project IP means Intellectual Property that is brought into existence by or on behalf of the Commissioned Organisation as a result of performing the Services under the Project Agreement.
Project IP means all information, data techniques, know-how, results, inventions, software, discoveries and materials (regardless of the form or medium in which they are disclosed or stored): created or developed by the University in the course of and as a result of carrying out the Project; and
Project IP means all intellectual property (present or future) created, discovered or coming into existence as a result of, for the purpose of, or in connection with the performance of the Contract.
Project IP means all Intellectual Property developed or conceived (a) after the Effective Date of the Statement of Work and (b) in furtherance of such Statement of Work, whether developed or conceived jointly or independently by the parties.
