Customer Improvements definition

Customer Improvements means Improvements wholly conceived, reduced to practice, or otherwise developed by Customer that were not known to IM prior to Formal Disclosure by Customer to IM (as defined in Section 4.9.2), or that were not generally available to the public or otherwise part of the public domain at the time of Formal Disclosure. “Customer Use Improvements” means Customer Improvements that are new methods of use or modifications to existing methods of use of Equipment in dry processingthat can be implemented without any improvements, additions or modifications to the Equipment. “IM Improvements” means Improvements wholly conceived or reduced to practice by IM.

Related to Customer Improvements

  • Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. However, Contractor’s Equipment excludes Temporary Works, Employer’s Equipment (if any), Plant, Materials and any other things intended to form or forming part of the Equipment.

  • Tenant Improvements Defined in Exhibit B, if any.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.
