Customer Background IP definition

Customer Background IP means all intellectual property rights and information, material, know-how, and trade secrets that relate to Customer’s Platform, whether or not patentable, conceived, originated, created, or first reduced to practice prior to the Effective Date of this Agreement.
Customer Background IP means all IP, owned, controlled, or licensable by Customer as of the Effective Date, or which Customer comes to own, control, or have the right to license from a third party independently of this Agreement or any applicable SOW. Customer Background IP does not include any Customer Foreground IP, Consultant Background IP, or Consultant Foreground IP.
Customer Background IP means the Background IP of Customer that is necessary for, used for, or otherwise provided to Ginkgo to perform its activities under a TDP.

Examples of Customer Background IP in a sentence

  • Customer grants Entrust a non-exclusive, non-transferable, royalty-free, worldwide license for the term of the applicable Order to make, use and copy any Customer Background IP that it discloses to Entrust, but solely to the extent necessary for Entrust to provide the Professional Services to the Customer pursuant to the Order.

  • Except as provided in the preceding sentence, Customer reserves all right, title and interest in the Customer Background IP, Inventions and Work Product, and all intellectual property rights therein, and does not grant any right, title or interest therein to Evonik by implication, estoppel or otherwise.

  • Customer hereby grants to Evonik a license under the Customer Background IP, Inventions and Work Product, and all intellectual property rights therein, as strictly necessary for Evonik to fulfill its obligations under this Agreement.

  • Any other Improvements, including and without limitation to the composition and formula of any Potential Product, or Improvements to Customer Background IP, shall be owned by the Customer.


More Definitions of Customer Background IP

Customer Background IP means the Background IP of Customer made or to be made available by Customer to Rentschler for the purposes of the performance by Rentschler of its obligations under this Agreement. The master cell bank of the Product shall be part of Customer Background IP.

Related to Customer Background IP

  • Supplier Background IPR means Intellectual Property Rights owned by the Supplier before the Call Off Commencement Date, for example those subsisting in the Supplier's standard development tools, program components or standard code used in computer programming or in physical or electronic media containing the Supplier's Know-How or generic business methodologies; and/or Intellectual Property Rights created by the Supplier independently of this Call Off Contract,

  • Background IP means all IP and IP Rights owned or controlled by Seller prior to the effective date or outside the scope of this Contract.

  • Background IPR means any Intellectual Property Rights (other than Project IPR) belonging to either party before the Commencement Date or not created in the course of or in connection with the Project;

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.
