Collaboration Patents means all Biogen Idec Collaboration Patents, Sunesis Collaboration Patents and Joint Collaboration Patents.
Investor Q&A Forum As defined in Section 4.02(a) of this Agreement.
Collaborative practice means that a physician may delegate aspects of drug therapy management for the physician’s patients to an authorized pharmacist through a community practice protocol. “Collaborative practice” also means that a P&T committee may authorize hospital pharmacists to perform drug therapy management for inpatients and hospital clinic patients through a hospital practice protocol.
Collaboration Target means any Antigen listed on Appendix C, as such appendix may be amended pursuant to this Agreement.
Collaboration IP means Collaboration Know-How and Collaboration Patents.
Collaboration Patent Rights means Patent Rights claiming Collaboration Know-How.
Forum means any federal, state, local, municipal, or foreign court, governmental agency, administrative body or agency, tribunal, private alternative dispute resolution system, or arbitration panel.
Research Plan shall have the meaning set forth in Section 2.1.
Research Program has the meaning set forth in Section 3.1.
Collaboration Product means any product that contains one or more Discovered RNAi Compound(s) as active ingredient(s).
Research Project means a discrete scientific endeavor to answer a research question or a set of research questions related to medical marijuana and is required for a medical marijuana research license.
Research Program Term means the term of the Research Program set forth in Section 2.2.
Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).
Collaboration means a process involving 2 or more health
Joint Patents has the meaning set forth in Section 8.1.
Clinical Studies means Xxxxx 0, Xxxxx 0, Xxxxx 0, Xxxxx 3, and such other tests and studies in human subjects that are required by Applicable Law, or otherwise recommended by the Regulatory Authorities, to obtain or maintain Regulatory Approvals for a Licensed Product for one (1) or more indications, including tests or studies that are intended to expand the Product Labeling for such Licensed Product with respect to such indication.
Third Party IPR means any Intellectual Property Rights not belonging to either party to this Agreement but used by the Supplier in the creation of the Deliverables and/or in the course of or in connection with the Project.
Joint Research Committee or “JRC” has the meaning set forth in Section 2.2.1.
Joint Patent Rights means all Patent Rights claiming a Joint Invention.
Development Candidate means a pre-clinical Licensed Product which possesses desirable properties of a therapeutic agent for the treatment of a clinical condition based on in vitro and animal proof-of-concept studies.
Clinical Trials means a controlled study in humans of the safety or efficacy of a Product, and includes, without limitation, such clinical trials as are designed to support expanded labeling or to satisfy the requirements of an Agency in connection with any Product Approval and any other human study used in research and Development of a Product.
Clinical Trial means any human clinical trial of a Product.
Product Candidate means each biological and drug candidate, compound or other device or product being Developed, labeled, Manufactured, marketed, sold and/or distributed by a member of the Contributed Entity Group at any time prior to the Closing, or regarding which a member of the Contributed Entity Group has rights as of immediately prior to Closing, and including any such biological and drug candidate, compound or product that has received Marketing Approval.
Collaboration Term has the meaning set forth in Section 9.1.
Program Patent Rights means any Patent Rights that contain one or more claims that cover Program Inventions.
Joint Inventions has the meaning set forth in Section 9.1.
