Definition of Research Program Term


Research Program Term means the period of time starting on the Effective Date and ending on the date that the last of the following terms expires: (i) the [ *** ] Research Program Term (including any extension(s) thereof as agreed between the Parties under Section 2.9.1); the PD1 Research Program Term (including any extension(s) thereof as agreed between the Parties under Section 2.9.2), and (iii) (i) the Multispecific Research Program Term (including any extension(s) thereof as agreed between the Parties under Section 2.9.3).

Examples of Research Program Term in a sentence

Without the written consent of the other Party, neither Party nor its Affiliates shall, during the [***] or for [***] year thereafter, solicit (directly or indirectly) any employee of the other Party or its Affiliates who participated in the Research Program at any time during the Research Program Term.
Periodically during the Research Program Term, or upon request, the JPC shall report its activities and the status of such to the JSC.
During the Research Program Term, neither Party will knowingly use any material, technology, or intellectual property rights in the conduct of the Research Plan that, to its knowledge, is encumbered by any Third Party restriction or any Third Party right or obligation that would conflict or interfere with any of the rights or licenses granted to, or to be granted to, the other Party hereunder.
From time to time during the Research Program Term, either Party (the Transferring Party) may supply the other Party (the Recipient Party) with Proprietary Materials of the Transferring Party for use in the Research Program.
The Research Program shall commence on the Effective Date and shall continue until the last day of the Research Program Term.
