Bearer Global Note or “Bearer Global Notes” means a Bearer Note or Notes, as the case may be, in the form established pursuant to Section 2.02 evidencing all or part of a Series of Bearer Notes, deposited with a common depositary for Euroclear Bank S.A./N.V., as operator of the Euroclear System and/or Clearstream Banking, société anonyme, Luxembourg.

Bearer Global Note distinguishing between any payment of principal and any payment of interest, will be made on such Bearer Global Note by the Paying Agent to which it was presented and such record shall be prima facie evidence that the payment in question has been made.

Bearer Global Note means a Temporary Bearer Global Note and/or a Permanent Bearer Global Note, as the context may require; Calculation Agent means, as applicable, the Principal Paying Agent (in the case of Notes other than VPS Notes), the VPS Agent (in the case of VPS Notes) or in either case such other calculation agent appointed pursuant to the Agency Agreement, the VPS Agency Agreement and the Conditions; CGN means a Temporary Global Note or a Permanent Global Note and in either case in respect of which the applicable Final Terms indicates is not a New Global Note; Clearstream, Luxembourg means Clearstream Banking, S.A.;
