Principal of, premium, if any, and interest on the Notes shall be payable, and the transfer of the Notes shall be registrable, at the Corporate Trust Office of the Trustee; provided, however, that while the Notes are represented by a Registered Global Security, payment of principal of, premium, if any, or interest on the Notes may be made by wire transfer to the account of the Depositary or its nominee in accordance with the Applicable Procedures.
The Depository Trust Company shall initially serve as the Depositary for the Registered Global Security representing the Notes.
Notwithstanding any other provision of this Indenture or any Security, where this Indenture or any Security provides for notice of any event (including any notice of redemption) to a Holder of a Registered Global Security (whether by mail or otherwise), such notice shall be sufficiently given when delivered to the Depositary for such Security (or its designee) pursuant to the customary procedures of such Depositary.
All notices and communications to be given to the Holders and all payments to be made to Holders under the Registered Global Securities shall be given or made only to the registered Holders (which shall be the Depositary or its nominee in the case of any Registered Global Security).
The rights of beneficial owners in any Registered Global Security shall be exercised only through the Depositary subject to the applicable rules and procedures of the Depositary.
