Offshore Global Note definition

Offshore Global Note means a Global Note representing Notes issued and sold pursuant to Regulation S.

Offshore Global Note has the meaning provided in Section 2.01.

Examples of Offshore Global Note in a sentence

• Notwithstanding anything to the contrary contained herein, no such exchange is permitted if the requested exchange involves a beneficial interest in a Temporary Offshore Global Note.

More Definitions of Offshore Global Note

Offshore Global Note means a Global Note representing Notes issued and sold pursuant to Regulation S; provided, that any such Regulation S Global Note shall be deemed to be a “temporary global security” for purposes of Rule 904 under Regulation S until the expiration of the Restricted Period.
