Examples of Relevant Issuer in a sentence
No Agent shall be under any obligation to take any action under this Agreement that it expects, and has so notified the Relevant Issuer in writing, will result in any expense to or liability of such Agent, the payment of which is not, in its opinion, assured to it within a reasonable time.
Each Agent may consult on any legal matter any legal adviser selected by it, who may be an employee of or adviser to the Relevant Issuer or, in the case of Guaranteed Notes, the Guarantor, and it shall not be liable in respect of anything done, or omitted to be done, relating to that matter in good faith in accordance with that adviser’s opinion.
The parties agree that all issues of Notes shall be made in accordance with the Procedures Memorandum unless the Relevant Issuer, (in the case of EFI Notes) the Guarantor, the Relevant Dealer(s), the Fiscal Agent and, in the case of Registered Notes, the Registrar agree otherwise in respect of any issue.
The Bank of New York Mellon, London Branch may be appointed as Calculation Agent in respect of any Series of Notes by agreement with the Relevant Issuer and (in the case of EFI Notes) the Guarantor.
The Relevant Issuer shall give Noteholders, as soon as practicable, notice of any termination under Clause 18.5 of which it is aware in accordance with the notice provisions described in Condition 13 (Notices).
