• The Issuer will from time to time request all third-party vendors to include on screens maintained by such vendors appropriate legends regarding Rule 144A and Section 3(c)(7) under the 1940 Act restrictions on the Global Notes.

• Such Issuers’ Order shall specify the amount of the Notes to be authenticated, the date on which the original issue of Notes is to be authenticated and whether the Notes are to be Initial Notes, Additional Notes or Unrestricted Global Notes.

• The Issuers shall execute and the Trustee shall, in accordance with this Section 2.1(c) and Section 2.2 of this Appendix I, and pursuant to an Issuers’ Order, authenticate and deliver initially one or more Global Notes that (i) shall be registered in the name of the Depositary for such Global Note or Global Notes or the nominee of such Depositary and (ii) shall be delivered by the Trustee to such Depositary or pursuant to such Depositary’s instructions or held by the Custodian.

• If no Global Notes are then outstanding, the Issuers may issue and the Trustee shall authenticate, upon receipt of an Issuers’ Order of the Issuers in the form of an Officers’ Certificate, a new Global Note in the appropriate principal amount.

• The forms of the Secured Debt, including the forms of Certificated Notes, Temporary Global Notes, Regulation S Global Notes and Rule 144A Global Notes, shall be as set forth in Exhibit A hereto.

More Definitions of Global Notes

Global Notes means the Notes that are in the form of Exhibit A issued in global form and registered in the name of the Depositary or its nominee.

Global Notes means the global Notes in the form of Exhibit A hereto issued in accordance with Article 2 hereof.
