None of the Parties shall take any position inconsistent with the Purchase Price Allocation on any Tax Return or in any audit or Tax proceeding, unless otherwise required by a final determination by a Governmental Authority.
The Transfer Taxes determined at the Closing based on the Initial Purchase Price Allocation shall be the “Closing Transfer Taxes” (fifty percent (50%) of which shall be paid by Buyer pursuant to Section 3.3 and shall reduce the Closing Cash Consideration, as provided in the definition thereof), and the other fifty percent (50%) of which shall be also be borne by Buyer (on its own behalf).
The Purchase Price Allocation shall be conclusive and binding on the Parties.
Accordingly, the tentative allocation shall govern the initial remittance of any Transfer Taxes, subject to adjustment in accordance with the later determined Purchase Price Allocation.
