All Required Permits relating to insurance are set forth in Schedule T of each of the PennLife Companies' and ConLife Companies' Annual Statements for the year ended December 31, 1997, and all other Required Permits are listed in Section 3.15(b) of the Disclosure Schedule. In all cases, the Required Permits are valid and in full force and effect and none of Sellers or any Company has received any notice of any inquiry or proceeding that could reasonably be expected to result in the suspension, revocation or material limitation of any such permit; and to the knowledge of Sellers, there is no 41 reasonable basis for any such suspension, revocation or limitation.   • Operational requirements means the need to ensure that the Agency is to be operated as effectively, efficiently and economically as possible.

  • Regulatory Permits means all Permits granted by the FDA or any comparable Governmental Entity to the Company or any of its Subsidiaries, including investigational new drug applications, Biologics License Applications, manufacturing approvals and authorizations, clinical trial authorizations and ethical reviews, or their national or foreign equivalents.

  • Required Consents shall have the meaning set forth in Section 4.5.

  • Governmental Authorization means any authorization, approval, consent, franchise, license, covenant, order, ruling, permit, certification, exemption, notice, declaration or similar right, undertaking or other action of, to or by, or any filing, qualification or registration with, any Governmental Authority.
