If applicable, each GNQ Company possesses all material Environmental Permits that are required for the operation of the business as presently operated and for the ownership and use of their assets (including the Leased Real Property) as presently owned and used, and such material Environmental Permits are to their knowledge in good standing and in full force and effect.
Prior to the date of this Agreement, true, complete and correct copies of all currently in force material Environmental Permits issued to any GNQ Company have been made available to SPAC.
No Action is pending or, to the Company’s Knowledge, threatened to revoke, adversely modify, or terminate any such Environmental Permit and, to the Company’s Knowledge, no facts, circumstances, or conditions currently exist that would reasonably be expected to adversely affect such continued compliance with Environmental Laws and Environmental Permits or require material capital expenditures to achieve or maintain such continued compliance with Environmental Laws and Environmental Permits.
