Seller and Purchaser shall use commercially reasonable efforts to cooperate with each other (at no cost or expense to the Party whose cooperation is requested except as otherwise set forth herein) to provide written notice to any Person under any Assumed Property Agreements, Licenses and Permits, and to effect any registrations or filings with any Governmental Authority or other Person, regarding the change in ownership of the Property or the Business.
Except as otherwise set forth herein, Purchaser shall, at its cost and expense, be solely responsible for the transfer of all transferrable Licenses and Permits or the issuance of new licenses and permits, including, without limitation, the licenses and permits required for the sale and service of alcoholic beverages at the Property, if required (each a “Liquor License”).
Seller has uploaded to the Data Room true, correct, and complete copies of the Licenses and Permits in its possession.
To Seller’s Knowledge, all Licenses and Permits with respect to the Property are in full force and effect and no material default exists thereunder.
Seller has not received any written notice from any Governmental Authority or other Person of any violation, suspension, revocation or non-renewal of any Licenses and Permits with respect to the Property that has not been cured or dismissed.
