All Company Permits material to the Companies are identified on Schedule 4.9(b) and complete and correct copies thereof have been made available to Buyer.
Except as has not had or would not, individually or in the aggregate, reasonably be expected to be material to the Company, the Company in not default, and, to the Knowledge of the Company, no condition exists that with notice or lapse of time or both would constitute a default, under the Company Permits.
