Environmental Authorization definition

Environmental Authorization. Any license, permit, order, approval, consent, notice, registration, filing or other form of permission or authorization required under any Environmental Law.
Environmental Authorization means any license, permit, certificate, or other authorization from a Governmental Entity under any applicable Environmental Law. Each of the Debtors is and has been in compliance with all such Environmental Authorizations, other than such noncompliance as would not in the aggregate have a Debtor Material Adverse Effect.
Environmental Authorization means any Governmental Authorization required under applicable Environmental Requirements; (iii) “Materials of Environmental Concern” include chemicals, pollutants, contaminants, wastes, toxic substances, petroleum and petroleum products and any other substance that is now or hereafter regulated by any Environmental Requirement or that is otherwise a danger to health, reproduction or the environment; and (iv) “Release” means any spilling, leaking, emitting, discharging, depositing, escaping, leaching, dumping or other releasing into the environment, whether intentional or unintentional.

Examples of Environmental Authorization in a sentence

  • No notice or consent is required for any such Environmental Authorization to remain in full force and effect following consummation of the Contemplated Transactions.

  • Neither Sellers nor any of their Affiliates has received any notice that, or otherwise has knowledge of any facts, events, conditions or circumstances pursuant to which, (i) any such existing material Environmental Authorization will be revoked, (ii) any application currently pending or to be made prior to the Closing Date for any new material Environmental Authorization will be protested or denied, or (iii) any renewal of any existing material Environmental Authorization will be protested or denied.

  • No notice or consent is required for any such Environmental Authorization to remain in full force and effect following consummation of the Contemplated Transactions, except as would not have, and would not reasonably be expected to have, a Parent Material Adverse Effect.

  • There are no proceedings pending or, to the Knowledge of the Archway Parties, threatened by any Environmental Authority against either Company Group Member seeking to revoke or suspend any Environmental Authorization listed on Schedule 6.23.

  • No Environmental Authorization scheduled to expire within three years of the effective date of this Agreement will not be renewed or will require material expenditures in connection with such renewal, and no Environmental Law (including, without limitation, any Environmental Law which has been formally proposed for public comment) could reasonably be expected to interfere in any material way with current or projected operations of the Business or the Acquired Assets.


More Definitions of Environmental Authorization

Environmental Authorization means any Governmental Authorization required under Environmental Laws to own or operate the business of the Acquired Companies as currently owned and operated.
Environmental Authorization means any Permit required under any Environmental Law.
Environmental Authorization means any Governmental Authorization required under Environmental Laws to own or operate the business and real property of the Acquired Companies as currently owned, leased and operated.
Environmental Authorization means any Authorization of any applicable Governmental Authority required by Environmental Laws in effect and as interpreted as of the Closing Date for the ownership, operation or use of the Assets as they are operated by the Company as of the Closing Date.

Environmental Laws include, but are not limited to CERCLA, FIFRA, RCRA, ▇▇▇▇ and TSCA.
Environmental Authorization shall have the meaning set forth in Section 2.13(d).
Environmental Authorization means any Authorization required under any applicable Environmental Laws.
