AUTHORITY TO DO BUSINESS. If determined to be in the interest of the Company by the Board of Directors, an officer shall execute, deliver and file any other certificates (and any amendments and/or restatements thereof) necessary for the Company to qualify to do business in New York and in any other jurisdiction in which the Company may wish to conduct business.

The Company and each of the Subsidiaries are duly licensed or qualified to do business as a foreign entity and are in good standing in each jurisdiction in which the nature of their property and assets or the conduct of their respective businesses requires them to be so licensed or qualified, except where the failure to be in good standing or to be duly licensed or qualified to do business would not, individually or in the aggregate, have a Material Adverse Effect. Schedule 6.2 sets forth a list of each jurisdiction in which the Company and each of the Subsidiaries are licensed or qualified to do business as a foreign entity.
AUTHORITY TO DO BUSINESS. The Company has all requisite corporate power and authority to own, lease and operate its properties and to conduct its business in the manner where now conducted and is duly licensed or qualified to do business as a foreign corporation and is in good standing in each jurisdiction in which the nature of its properties and assets or the conduct of its business requires it to be so licensed or qualified, except where the failure to be in good standing or to be duly licensed or qualified to do business would not have a Material Adverse Effect. section 3B(b) of the Disclosure Schedule sets forth a list of each jurisdiction in which the Company is licensed or qualified to do business as a foreign corporation. The Company is not required to be licensed or qualified to transact business as a foreign corporation in the District of Columbia or England.
AUTHORITY TO DO BUSINESS. Seller has the requisite corporate power and authority and is in possession of all licenses, permits, consents and approvals necessary to own, lease and operate the Purchased Assets and to carry on the Business as it is now being conducted. Seller is duly qualified or licensed to do business, and is in good standing, in each jurisdiction where the failure to do so would be materially adverse to Seller or the Business.
