The Company has not received any written (or, to the Company’s knowledge, oral) notice regarding any revocation or material modification of any such Governmental Authorization, which, individually or in the aggregate, if the subject of an unfavorable decision, ruling or finding, has or would reasonably be expected to result in a Material Adverse Effect.
All of the Governmental Authorization the Company holders are valid and subsisting and the Company is not in breach of any of them.
Except as set forth in Section 3.07 of the Company Disclosure Schedule, the Company does not hold any Governmental Authorization or require any Governmental Authorization for the business, assets or properties of the Company or to conduct its business in the manner in which such business is currently being conducted and as currently proposed to be conducted.
