BALTIMORE POLICE DEPARTMENT et al., Defendants. No. 20-cv-929-RDB AGREED ORDER OF DISMISSAL This Order dismisses all claims made in the above-captioned case by Leaders of a Beautiful Struggle, Xxxxxxx Xxxxxxxxxx, and Xxxxx Xxxxx (“Plaintiffs”), against the Baltimore Police Department and Baltimore Police Commissioner Xxxxxxx X. Xxxxxxxx in his official capacity (“Defendants”). The Plaintiffs and Defendants (collectively, “the parties”) agree that this case has been settled, and that all issues and controversies, as described in the Settlement Agreement, have been resolved to their mutual satisfaction. The parties request the Court to retain jurisdiction to enforce the terms of the Settlement Agreement under the authority of Kokkonen v. Xxxxx, Xxxxx X. Xxxxxx and Xxxx X. Xxxxxxxx, who is now, or has been at any time prior to the date hereof or who becomes prior to the Effective Time, an officer or director of Company (the "Indemnified Parties") against all losses, claims, damages, costs, expenses (including reasonable attorneys' fees and expenses), liabilities or judgments or amounts that are paid in settlement with the approval of the indemnifying party (which approval shall not be unreasonably withheld) incurred in connection with any threatened or actual action, suit or proceeding based in whole or in part on or arising in whole or in part out of the fact that such person is or was a director or officer of Company ("Indemnified Liabilities"), including all Indemnified Liabilities based in whole or in part on, or arising in whole or in part out of, this Agreement or the transactions contemplated hereby, in each case, to the full extent that a corporation is permitted under the DGCL to indemnify its own directors or officers, as the case may be. In the event any such claim, action, suit, proceeding or investigation is brought against any Indemnified Party, the indemnifying party shall assume and direct all aspects of the defense thereof, including settlement, and the Indemnified Party shall cooperate in the vigorous defense of any such matter. The Indemnified Party shall have a right to participate in (but not control) the defense of any such matter with its own counsel and at its own expense. The indemnifying party shall not settle any such matter unless (i) the Indemnified Party gives prior written consent, which shall not be unreasonably withheld, or (ii) the terms of the settlement provide that the Indemnified Party shall have no responsibility for the discharge of any settlement amount and impose no other obligations or duties on the Indemnified Party and the settlement discharges all rights against Indemnified Party with respect to such matter. In no event shall the indemnifying party be liable for any settlement effected without its prior written consent. Any Indemnified Party wishing to claim indemnification under this Section 6.18(b), upon learning of any such claim, action, suit, proceeding or investigation, shall notify Parent and the Surviving Corporation (but the failure so to notify shall not relieve the indemnifying party from any liability which it may have under this Section 6.18(b) except to the extent such failure prejudices such indemnifying party), and shall deliver to Parent and th...
