Xxxx-Xxxxx-Xxxxxx. Notwithstanding any other provision in this Agreement, in the event the Xxxx Xxxxx Xxxxxx Antitrust Improvements Act of 1976, as amended (the “HSR Act”), is applicable to any Member by reason of the fact that any assets of the Company will be distributed to such Member in connection with the dissolution of the Company, the distribution of any assets of the Company shall not be consummated until such time as the applicable waiting periods (and extensions thereof) under the HSR Act have expired or otherwise been terminated with respect to each such Member.
Xxxx-Xxxxx-Xxxxxx. In the event the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976 (the “HSR Act”) is applicable to any Unitholder, the dissolution of the Company shall not be consummated until such time as the applicable waiting period (and extensions thereof) under the HSR Act have expired or otherwise been terminated with respect to each such Unitholder.
Xxxx-Xxxxx-Xxxxxx. All required filings under the Xxxx-Xxxxx- ----------------- Xxxxxx Act shall have been completed and all applicable time limitations under such Act shall have expired without a request for further information by the relevant federal authorities under such Act, or in the event of such a request for further information, the expiration of all applicable time limitations under the Act shall have occurred without the objection of such federal authorities.
Xxxx-Xxxxx-Xxxxxx. Any applicable waiting period under the Xxxx-Xxxxx-Xxxxxx Act shall have expired or been terminated.
Xxxx-Xxxxx-Xxxxxx. The waiting period under the HSR Act shall have expired or been terminated.
Xxxx-Xxxxx-Xxxxxx. The HSR Clearance shall have been obtained.
Xxxx-Xxxxx-Xxxxxx. All applicable waiting periods under the ----------------- Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended, shall have expired.
Xxxx-Xxxxx-Xxxxxx. The applicable waiting period under the HSR Act shall have expired or been earlier terminated without action by the Justice Department or the Federal Trade Commission to prevent consummation of the transactions contemplated by this Agreement.
Xxxx-Xxxxx-Xxxxxx. As promptly as practicable, and in any event within five (5) Business Days following the execution and delivery of this Agreement by the parties, to the extent required by the HSR Act, the Company and Purchaser shall each prepare and file, or shall cause its "ultimate parents" (as defined in the HSR Act) to prepare and file, any required notification and report form under the HSR Act, in connection with the transactions contemplated hereby, the filing fees for which shall be paid by the Purchaser; the Company and Purchaser shall cause their ultimate parents to request early termination of the waiting period thereunder; and the Company and Purchaser shall cause their ultimate parents to respond with reasonable diligence to any request for additional information made in response to such filings. As promptly as practicable, and in any event within ten (10) Business Days following the execution and delivery of this Agreement by the parties, the Company and Purchaser shall prepare and file any other application, report, or other filing required to be submitted to any other Governmental Entity in connection with the transactions contemplated hereby.
Xxxx-Xxxxx-Xxxxxx. All applicable waiting periods (and any extensions ----------------- thereof) under the HSR Act shall have expired or otherwise been terminated without objection of any of the relevant federal authorities.
