Waiver or Consent Sample Clauses

Waiver or Consent. Permit the validity or effectiveness of any of the Note Trust Deed or the Issuer Deed of Charge or the priority of the security interests created thereby to be amended, terminated, postponed, waived or discharged, or permit any other person whose obligations form part of the Issuer Security to be released from such obligations.

Waiver or Consent. A waiver or consent, express or implied, to or of any breach or default by any Person in the performance of its obligations with respect to the Company is not a consent or waiver to or of any other breach or default in the performance by that Person of the same or any other obligations of that Person with respect to the Company. Failure on the part of a Person to complain of any act or omission of any Person or to declare any Person in breach or default with respect to an obligation, irrespective of how long that failure continues, shall not be construed as a waiver of the breach or default until the applicable statute of limitations has run. No waiver of any obligation under this Agreement or the Act shall be effective unless in writing signed by or on behalf of the Person or Persons to whom the obligation is owed.

Waiver or Consent. No waiver or consent by either Party, express or implied, of any one or more defaults by the other Party in the performance of any provision of this Agreement shall operate or be construed as a waiver or consent of any other default or defaults whether of a like or different nature.

Waiver or Consent. A waiver or consent to or of any breach or default by any Person in the performance by that Person of its obligations hereunder or with respect to Holdings LLC is not a consent or waiver to or of any other breach or default in the performance by that Person of the same or any other obligations of that Person hereunder or with respect to Holdings LLC. A waiver under this Agreement shall be effective only by written instrument executed by the Person(s) waiving rights to which they are entitled hereunder and with express reference specifying the rights and provisions waived. Failure on the part of a Person to expressly complain of any act of any Person or to declare any Person in default hereunder or with respect to Holdings LLC, irrespective of how long that failure continues, does not constitute an effective waiver by that Person of its rights with respect to that default until the applicable statute of limitations period has run.

Waiver or Consent. (i) permit any of the Borrower SPV Transaction Documents to which it is a party to become invalid or ineffective or the priority of the Security created thereby to be reduced, amended, terminated or discharged; (ii) consent to any variation or novation of, or exercise any powers of consent or waiver pursuant to, the terms of any of the Borrower SPV Transaction Documents to which it is a party; or (iii) permit any party to any of the Borrower SPV Transaction Documents to which it is a party, or any other person whose obligations form part of the assets secured pursuant to the Security Documents, to be released from its respective obligations.

Waiver or Consent. One or more waivers of any covenant, term or condition of this Lease by either party shall not be construed as a waiver of a subsequent breach of the same covenant, term or condition. The consent or approval by either party to or of any act by the other party requiring such consent or approval shall not be deemed to waive or render unnecessary consent to or approval of any subsequent similar act.

Waiver or Consent. No consent, approval or waiver, whether expressed or implied, by Xxxxxx of any breach of any covenant, agreement or obligation of Lessee hereunder shall be construed as a consent or waiver to, or of, any other breach of the same or any other covenant, agreement or obligation herein. All typewritten or handwritten provisions of this lease shall prevail over and control any printed portions inconsistent herewith.

Waiver or Consent. No failure or delay on the part of any party hereto in exercising any power or right hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any such right or power, or any abandonment or discontinuance of steps to enforce such a right or power, preclude any other or further exercise thereof or the exercise of any other right or power. The rights and remedies of the parties hereunder are cumulative and not exclusive of any rights or remedies which they would otherwise have. No modification or waiver of any provision of this Agreement, nor consent to any departure by any party therefrom, shall in any event be effective unless the same shall be in writing, signed by BioPharma, Columbia and the Escrow Agent, and then such waiver or consent shall be effective only in the specific instance and for the purpose for which given. No notice to or demand on any party in any case shall entitle such party to any other or further notice or demand in similar or other circumstances.
