Waiver; Entire Agreement. No provision of this Agreement may be modified, waived, or discharged unless such waiver, modification, or discharge is agreed to in writing by City and Contractor. No waiver of either party at any time of the breach of, or lack of compliance with, any conditions or provisions of this Agreement will be deemed a waiver of other provisions or conditions hereof. This Agreement contains the entire agreement and understanding between the parties with respect to the subject matter of this Agreement and contains all the terms and conditions of the parties’ agreement and supersedes any other oral or written negotiations, discussions, representations, or agreements. Contractor has not relied on any promises, statements, representations, or warranties except as set forth expressly in this Agreement.

No failure or delay on Prestige's part in exercising any right, power or remedy granted to Prestige herein, will constitute or operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy preclude any other or further exercise thereof or the exercise of any other right set forth herein. This Agreement contains the entire agreement and understanding of the parties hereto and no amendment, modification or waiver of, or consent with respect to, any provision of this Agreement, will in any event be effective unless the same is in writing and signed and delivered by Prestige.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof.

Waiver; Entire Agreement. I am of lawful age and legally competent to sign this Agreement, or I have acquired the written consent of my parents or guardians who also sign this Agreement. I understand the terms herein are contractual and not a mere recital and that I have signed this Agreement of my own free will and with the knowledge that I hereby agree to waive my legal rights. I further agree that if any provision of this Agreement is found to be unenforceable or invalid, such provision shall be severed from this Agreement and the remainder of this Agreement shall then be construed as though the unenforceable provision had never been contained herein. Any delay or failure of a party to enforce any of the provisions of this Agreement shall not be construed to

Waiver; Entire Agreement. Neither the Company nor the Union shall be obligated to negotiate or bargain on any matter of any nature whatsoever not covered by the provisions of this Agreement, during the life of this Agreement. In the event that any provision of this Agreement shall be declared void or illegal by a court of competent jurisdiction, such provision shall become inoperative but all other provisions of this Agreement shall remain in full force and effect for the duration of this Agreement. Any portion of this agreement may be amended if mutually agreed upon in writing by the “Company” and the “Union” in accordance with Federal Labor laws and O.S.H.A. rules and regulations.
Waiver; Entire Agreement. The Secured Party's failure, at any time or times hereafter, to require strict compliance with or performance by each Pledgor of any provision of this Stock Pledge Agreement or to fail to exercise, or delay in exercising any right or remedy hereunder, shall not waive, affect or diminish any right of the Secured Party thereafter to demand strict compliance therewith and performance thereby. Any suspension or waiver by the Secured Party of an Event of Default under this Stock Pledge Agreement shall not suspend, waive or affect any other Event of Default under this Stock Pledge Agreement, whether the same is prior or subsequent thereto and whether of the same or of a different kind or character. None of the undertakings, agreements, warranties, covenants and representations of each Pledgor contained in this Stock Pledge Agreement, and no Event of Default by any Pledgor under this Stock Pledge Agreement shall be deemed to have been suspended or waived by the Secured Party unless such suspension or waiver is in writing and signed by an officer of the Secured Party, specifying such suspension or 20
Waiver; Entire Agreement. This Agreement (including Exhibit A and Exhibit B) constitutes the entire agreement among the Parties relating to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, writings and agreements relating to the subject matter of this Agreement. The Parties may, by mutual written agreement and in no other manner, modify or amend the terms of this Agreement. The failure or delay of any Party at any time or times to require the performance of any provision of this Agreement shall in no manner affect its right to enforce that provision. No single or partial waiver by any Party of any condition of this Agreement, or the breach of any term, agreement or covenant of, or the inaccuracy of any representation or warranty in, this Agreement, whether by conduct or otherwise, in any one or more instances, shall be construed or deemed to be a further or continuing waiver of any such condition, breach or inaccuracy or a waiver of any other condition, breach or inaccuracy.
