Services Standards. Contractor affirms that Contractor has the appropriate skill and experience to provide the Services requested by Auxiliary. Contractor shall perform the work diligently and consistent with professional skill and care and the orderly progress of the Services. Time is of the essence in this Agreement. Contractor’s Services will be performed to Auxiliary’s reasonable satisfaction and be in accordance with sound professional practices and standards. Contractor’s Services will be performed in strict compliance with all federal, provincial/state and local laws, regulations and ordinances.
Services Standards. Subject to the terms and conditions contained in this Agreement, Contractor will perform the following engineering services concerning Airport related matters and/or projects for and on behalf of City (collectively, the “Services”): (a) those certain engineering services described on the scope of services attached hereto as Schedule 1.1; (b) all other necessary or appropriate services customarily provided by Contractor in connection with its performance of those services described on the attached Schedule 1.1; and (c) such other engineering and related services requested by City’s airport director (or his or her designee) from time to time. Contractor will (w) consult with and advice City on all matters concerning the Services reasonably requested by City, (x) communicate all matters and information concerning the Services to the airport director (or his or her designee) and perform the Services under the general direction of the airport director (or his or her designee), (y) devote such time and attention to the performance of the Services as City deems necessary or appropriate, and (z) perform the Services to the best of Contractor’s ability. Contractor acknowledges and agrees that City may cause or direct other persons or contractors to provide services for and on behalf of City that are the same or similar to the Services provided by Contractor under this Agreement.
Services Standards. Subject to the terms and conditions contained in this Agreement, Contractor will perform the following technical advisory assistance services for and on behalf of City (collectively, the “Services”): (a) those services set forth on the attached Schedule 1.1; (b) any other necessary or appropriate services customarily provided by Contractor in connection with its performance of those services set forth on the attached Schedule 1.1; and (c) such other technical advisory assistance services requested by the city manager (or his or her designee) from time to time. Contractor will (w) consult with and advise City on all matters concerning the Services reasonably requested by City, (x) communicate all matters and information concerning the Services to the city manager (or his or her designee) and report directly to the city manager, (y) devote such time and attention to the performance of the Services as City and Contractor deem necessary or appropriate, and

Contractor will (w) consult with and advise City on all matters concerning the Services reasonably requested by City, (x) communicate all matters and information concerning the Services to the city manager (or his or her designee) and report directly to the city manager, (y) devote such time and attention to the performance of the Services as City and Contractor deem necessary or appropriate, and (z) perform the Services to the best of Contractor’s ability. Contractor acknowledges and agrees that City may cause or direct other persons or contractors to provide services for and on behalf of City that are the same or similar to the Services provided by Contractor under this Agreement.
Services Standards. In performing the Services, Service Provider shall not take an action or stop performing an act which has a material effect on ALU, which materially and/or adversely affects the function or performance of the Services, which requires ALU to change the way it conducts its business or operations, or which increases charges or costs to ALU, without first notifying ALU of such proposed action thirty (30) days in advance.

Subject to the terms and conditions contained in this Agreement, Contractor will perform the following economic development services for and on behalf of City (collectively, the “Services”): (a) those services set forth on the attached Schedule 1.1; (b) those services identified in the Scope of Services section of City’s Request for Proposals – Comprehensive Economic Development Services dated October , 2018 (the “RFP”); (c) any other necessary or appropriate services customarily provided by Contractor in connection with its performance of those services set forth on the attached Schedule 1.1 and/or the RFP; and (d) such other economic development services requested by the city manager (or his or her designee) from time to time. Contractor will (w) consult with and advise City on all matters concerning the Services reasonably requested by City, (x) communicate all matters and information concerning the Services to the city manager (or his or her designee) and report directly to the city manager, (y) devote such time and attention to the performance of the Services as City and Contractor deem necessary or appropriate, and (z) perform the Services to the best of Contractor’s ability. Contractor acknowledges and agrees that City may cause or direct other persons or contractors to provide services for and on behalf of City that are the same or similar to the Services provided by Contractor under this Agreement.
Services Standards. Subject to the terms and conditions contained in this Agreement, Consultant will perform the following financial, planning, and related services for and on behalf of City (collectively, the “Services”):

Subject to the terms and conditions contained in this Agreement, Consultant will perform the following energy, water, and environmental consulting services and related services for and on behalf of City (collectively, the “Services”): (a) those services and tasks identified in Consultant’s “Water Resources, Water Rights, Groundwater Monitoring and Geotechnical Services Statement of Qualifications” dated June 28, 2021 attached hereto as Exhibit A (the “Proposal”); and (b) all other necessary or appropriate services customarily provided by Consultant in connection with its performance of those services identified in the Proposal. Consultant will (x) consult with and advise City on all matters concerning the Services reasonably requested by City, (y) communicate all matters and information concerning the Services to the city manager (or his or her designee) and report directly to the city manager (or his or her designee), and (z) devote such time and attention to performance of the Services as City deems necessary or appropriate.
Services Standards. Administrator agrees to perform all Administrative Services and is hereby authorized to do so on behalf of Reinsureds. Administrator shall perform the Administrative Services in a professional and competent manner and in accordance with (i) the terms of the Reinsured Contracts and the Third Party Reinsurance Agreements, (ii) to the extent not in conflict with any other provision of this Section 2.2, standards of service that conform with Administrator’s service standards for administering similar insurance contracts issued by Administrator in its own name, and (iii) Applicable Law, including maintenance by Administrator of all licenses, authorizations, permits and qualifications from Governmental Authorities necessary to perform the Administrative Services required by this Administrative Services Agreement. Administrator shall use its reasonable best efforts to avoid doing anything which might reasonably be expected to prejudice or bring into disrepute the reputation of Reinsureds or their respective directors and officers as professional claims managers. Administrator acknowledges that the performance of all Administrative Services required by this Administrative Services Agreement in a professional and competent manner is of critical importance to Reinsureds.
