Waived Conditions. Upon the request of Agent, all conditions waived with respect to the initial advance or any subsequent advance shall be met.

Waived Conditions. If the Lenders in their sole discretion permit the drawdown of an Advance before all the conditions have been satisfied, the Borrower shall within one month from such Drawdown Date or such other period as the Administrative Agent may decide fulfil such conditions in form and substance satisfactory to the Administrative Agent.
Waived Conditions. All conditions waived with respect to the initial sale or any subsequent sale shall be met and any condition previously satisfied shall continue to be satisfied.
Waived Conditions. (a) The conditions specified in this Clause 3 (Conditions) are solely for the benefit of the Lenders and may be waived on their behalf in whole or in part and with or without conditions by the Agent (acting on the instructions of the Majority Lenders unless it is a non-material matter of administrative or technical character where the Agent may act in its sole discretion).

Should the Agent and Banks choose to extend the time for delivery or performance of any of the conditions set forth in Section 5.01, the Borrower shall have delivered or performed such conditions in accordance with the terms of the agreement by which the Agent and the Banks have granted such extension. Each Notice of Borrowing, Notice of Conversion/Continuation and L/C Application or L/C Amendment Application submitted by the Company hereunder shall constitute a representation and warranty by the Company hereunder, as of the date of each such notice and as of each Borrowing Date, Conversion/Continuation Date, or Issuance Date, as applicable, that the conditions in this Section 5.02 are satisfied.
