Actions to Satisfy Closing Conditions. Each Party shall take all actions as are within its power and otherwise use its commercially reasonable efforts so as to ensure compliance with the conditions set forth in this Section 6.

(a) The Seller agrees to take all such actions as are within its power to control and to use its Commercially Reasonable Efforts to cause other actions to be taken which are not within its power to control, so as to ensure compliance with all of the conditions set forth in Section 10.1 including, without limitation, ensuring that there has been no breach of any representations and warranties.

Actions to Satisfy Closing Conditions. If any of the foregoing conditions in this Article 4 has not been fulfilled by May 30, 2009, HudBay may terminate this Agreement by notice in writing to the Company, in which event HudBay is released from all obligations under this Agreement, and unless HudBay can show that the condition relied upon could reasonably have been performed by the Company, the Company is also released from all obligations under this Agreement. However, HudBay may waive compliance with any condition in whole or in part if it sees fit to do so, without prejudice to its rights of termination in the event of non-fulfilment of any other condition, in whole or in part, or to its rights to recover damages for the breach of any representation, warranty, covenant or condition contained in this Agreement.
Actions to Satisfy Closing Conditions. Each Party shall: (a) take all such reasonable actions as are within its power and otherwise use all commercially reasonable efforts so as to: (i) ensure compliance with the conditions set forth in Article 7; (ii) cause the Closing to occur as promptly as reasonably practicable following the date hereof; and (b) not take or agree to take any action that would reasonably be expected to delay or prevent the consummation of the transactions contemplated by this Agreement.
