Updating of Information. Between the date of this Agreement and the ----------------------- Closing Date, Sellers will deliver to Buyer, on a monthly basis within 30 days of the end of each month, information relating to the operation of the Stations, including weekly sales reports and such other financial information that may be reasonably requested.
Updating of Information. The Cardholder undertakes to notify PNB of any additional means of communicating to the Cardholder aside from what is disclosed in the Credit Card application, as well as any change in Cardholder information, such as but not limited to civil status, address, home, office or billing address, e-mail and telephone number. In case the billing address is not accessible through mail or delivery, PNB has the option to use other addresses, including e-mail address, as notified to PNB. PNB shall not be responsible for the consequences of the Cardholder's inability to receive any notifications from PNB Credit Card or Cardholder’s inability to pay his/her outstanding obligations under the Credit Card as a result of his/her failure to timely notify PNB of the change in his/her billing address, e-mail address or other Cardholder information. PNB reserves its right to suspend, terminate, or cancel the Credit Card. If the Cardholder leaves the Republic of the Philippines to take up long term or permanent residence elsewhere, all Credit Cards issued should be returned to PNB fifteen (15) days prior to the Cardholder's departure and the Credit Cards shall be deemed terminated and subject to the immediate payment in full by the Cardholder to PNB of all outstanding balances, obligations, and availments, posted or otherwise, under the Credit Cards. The Cardholder, pursuant to such undertaking, authorizes PNB, at its discretion but without any obligation to do so, to secure information from third parties, such as but not limited to utility companies, insurers and financial intermediaries, and receive information on how the Cardholder can be contacted. Should the Cardholder be delinquent or be in default, PNB reserves its right and the Cardholder authorizes PNB, at PNB's sole discretion but without any obligation to do so, to pursue all means of communicating with the Cardholder, including without limitation telephone messages, fax messages, mobile phone text messages, and other third party inquiries, to establish contact with the Cardholder.

The Company shall have promptly delivered to the Purchasers any information concerning events subsequent to the date of this Agreement which is necessary to supplement the information contained in or made a part of the representations and warranties contained herein, including the schedules provided in connection with this Agreement, or delivered by the Company pursuant to any of the covenants contained herein, in order that the information contained herein or so delivered be complete and accurate in all material respects as of the Closing Date. Notwithstanding the preceding sentence, for purposes of determining the parties' rights and obligations under this Agreement, the schedules delivered by the Company shall be deemed to include only that information contained therein on the date of this Agreement.

Seller will deliver revised or supplementary Schedules to this Agreement, containing accurate information as of the Closing Date, in order to enable Buyer to confirm the accuracy of Seller’s representations and warranties and otherwise effectuate the provisions of this Agreement. The receipt by Buyer of any revised or supplementary schedules to this Agreement shall in no way prejudice the Buyer’s right to terminate this Agreement based upon the failure of any condition to be satisfied under Section 9.1 hereof. Seller shall promptly inform Buyer, in writing, of the occurrence or failure of any action or event that would violate Seller’s representations and warranties under this Agreement or render them inaccurate as of the date hereof or the Closing Date or that would constitute a breach of any covenant of Seller under this Agreement or a failure of any condition to the obligations of either Seller or Buyer under this Agreement.

Not later than the Closing Date, the ----------------------- Companies and the Stockholders will deliver to Buyer information necessary to update the Schedules hereto and the lists, documents and other information furnished to Buyer as contemplated by this Agreement, in all cases consistent with the terms of this Agreement.

Such revised or supplementary schedules shall not modify or be deemed part of this Agreement unless agreed by Buyer in writing with reference to the specific schedules to be so treated. Provided that the Schedules prepared as of the Determination Date are true and correct when submitted for inclusion, the foregoing obligation to furnish updated information shall apply to such Schedules only insofar as material events or changes occur such as to make the contents of such schedules unreliable or misleading.

Rio Tinto will therefore require notification if Alcan becomes aware of any material development or change in any of the information supplied.
