Buyer Information means all information that Seller receives from Buyer or observes or obtains at a Buyer facility, including, but not limited to, information relating to: the Products or Services, facilities, products, machinery, capabilities, Intellectual Property, developments and plans of Buyer, its Affiliates and customers. Seller will not disclose to any third party or use for any purpose other than performing this Contract any Buyer Information, without Buyer’s written permission (except as required by law). Seller will hold all Buyer Information in trust for Xxxxx’s sole use and benefit. Seller will maintain the appropriate security safeguards reasonably necessary to prevent unauthorized persons from accessing, using, disclosing, or otherwise committing any act that could breach or compromise the privacy, availability, integrity, or content of the Data. In addition, Seller will maintain the appropriate security safeguards reasonably necessary to prevent unauthorized persons from accessing, using, disclosing, or otherwise committing any act that could breach or compromise the privacy, availability, integrity, or content of Seller’s own data systems related to the design, production, testing or information for the Products. Seller will inform Xxxxx of any loss of Personal Information within 72 hours of discovery. Buyer Information does not include any information that is publicly known other than through disclosure by or through Seller.

Buyer Information shall have the meaning set forth in Section 6.2(b).

Examples of Buyer Information in a sentence

The Seller shall keep any Confidential Information including the Buyer Information confidential and shall not use such information for any purpose other than performing its obligations under the Contract or publish or disclose such information to any third party, without the prior written consent of the Buyer, except as required by law.
Seller’s obligations with respect to Buyer Information disclosed hereunder prior to the performance in full, termination or cancellation of this Order shall not, except as expressly set forth herein, be affected by such performance in full, termination, or cancellation.
Any Intellectual Property created by the Seller based on or attributable in whole or in part to Buyer Information shall vest in the Buyer as and when created and the Seller shall assign all rights, title and interest in such Intellectual Property and associated Intellectual Property Rights to the Buyer and shall take all necessary steps to perfect such assignment.
The Seller must return such Confidential Information, and Buyer Information including any copies, to the Buyer upon Buyer’s request.

More Definitions of Buyer Information

Buyer Information means any information in any Offering Document other than Seller Information.

Buyer Information means (i) all information, knowledge and data of Seller Parent and its Affiliates as of immediately prior to the Closing to the extent related to the Business, the Acquired Assets, the Products and/or the Assumed Liabilities, (ii) all information, knowledge and data provided by Buyer or any of its Affiliates to any Seller in connection with the Transactions, other than any information contemplated by clause (i), and (iii) all analyses, compilations, forecasts, studies, interpretations, summaries, notes, data and other documents and materials (in any form or medium of communication, whether written, oral, electronic or magnetic), whether prepared by any Seller, such Seller’s Representatives or others, which contain, reflect or are generated from or based upon, in whole or in part, the information referred to in clauses (i) and (ii) of this sentence, other than any such information that (A) only with respect to (ii) above, is known to any Seller prior to receipt thereof from Buyer or any of its Affiliates, (B) is disclosed to a Seller by a third party which has, or is reasonably believed by such Seller to have, a legal right to make such disclosure without requiring such Seller to maintain the confidentiality thereof, (C) is or becomes part of the public domain through no fault of any Seller, or (D) is independently developed by or for any Seller, without reliance on or reference to any information contemplated by clauses (i) or (ii) of this sentence.
