United States Citizenship. The Executive is a United States citizen.
United States Citizenship. Executive acknowledges and understands that, pursuant to the mandates of the United States Federal Aviation Administration, the senior officer of the Company must hold United States citizenship. Executive affirms that he is currently a citizen of the United States of America. Executive shall immediately notify the Board in writing of any change in his citizenship status, of any challenge to that status, or of any inquiry from a governmental agency regarding Executive's qualification to serve as the Company's senior officer. Executive further acknowledges and understands that Executive may not be able to serve as the Chief Executive Officer if his citizenship status changes.

(ii) The Company is a citizen of the United States within the meaning of 49 U.S.C. 40102(a) (formerly Section 101 of the Federal Aviation Act of 1958, as amended), holds a Federal Aviation Regulations Part 135 Air Taxi certificate issued by the Federal Aviation Authority and is qualified to engage in air taxi operations in the Xxxxxx Xxxxxx; the issuance and sale of the Securities by the Company and the compliance by the Company with all of the provisions of this Agreement and the consummation of the transactions herein contemplated will not cause the Company to cease to be a citizen of the United States within the meaning of 49 U.S.C. 40102(a), or cause the Company to cease to hold a Federal Aviation Regulations Part 135 Air Taxi Certificate or cease to be qualified to engage in air taxi operations in the United States.
