Transmitter Sites. Licensee will maintain the Transmitter Sites and all equipment located at the Transmitter Sites at its own expense. Licensee will perform routine maintenance work at the Transmitter Sites, as needed, on Mondays between midnight and 4:00 a.m. The Transmitter Sites will be operated, in all material respects, in accordance with all applicable laws and regulations (including the requirements of the Act and the rules, regulations, policies and procedures of the Commission promulgated thereunder). The transmitting facilities of the Stations are capable of transmitting at the Stations' maximum authorized effective radiated power, with an antenna center of radiation at its full authorized height above ground and above average terrain. Licensee will maintain the operating power of the Stations at their maximum licensed level and shall operate and maintain in good working condition the Stations' transmission facilities and broadcasting equipment. Licensee will not apply to the Commission for any reduction in the Station's maximum authorized facilities without the prior written approval of Programmer.

Transmitter Sites. (a) Seller has valid, binding and enforceable leasehold interests, which are (except as disclosed in the Transmitter Site Leases (defined below) relating thereto) free and clear of liens, claims, encumbrances, subleases or other restrictions known to Seller or relating to or caused by Seller or its operation of the Stations, in and to the transmitter sites from which the Stations' signals are broadcast, and the buildings, structures and improvements situated thereon (the "Transmitter Sites"). True, complete and correct copies of the leases evidencing such interests (the "Transmitter Site Leases") have been furnished to Purchaser. Neither Seller nor, to Seller's knowledge, any other party is in default under the Transmitter Site Leases and no notice of termination or default has been given.

  • Computer Transmission The Custodian is able to accept transmissions sent from the Fund’s computer facilities to the Custodian’s computer facilities. If the Fund determines to use its proprietary transmission or other electronic transmission method, it must provide Custodian sufficient notice and information to allow testing or other confirmation that FT Instructions received via the Fund Designated Security Procedure can be processed in good time and order. The Custodian may require the Fund to execute additional documentation prior to the use of such transmission method.

  • Transmission The Custodian and the Fund shall comply with SWIFT’s authentication procedures. The Custodian will act on FT Instructions received via SWIFT provided the instruction is authenticated by the SWIFT system. § Written Instructions. Instructions may be transmitted in an original writing that bears the manual signature of an Authorized Person(s).

  • Rooftop Equipment Provided that Tenant complies with the terms of ----------------- this Section, Tenant may, at its risk and expense, install a satellite dish and related communications equipment and wiring (collectively, the "Rooftop ------- Equipment") on the roof of the Building at a location approved by Landlord, --------- which equipment may be used solely by Tenant and its Permitted Transferees or Permitted Sublessees. Before installing the Rooftop Equipment, Tenant shall submit to Landlord for its approval (which approval shall be in Landlord's sole discretion) plans and specifications which (a) specify in detail the design, location, size, and, in the case of a satellite dish, frequency of the Rooftop Equipment and (b) are sufficiently detailed to allow for the installation of the Rooftop Equipment in a good and workmanlike manner and in accordance with all Laws (the "Legal Requirements"). If Landlord approves of such plans, Tenant ------------------ shall install (in a good and workmanlike manner), maintain and use the Rooftop Equipment in accordance with all Legal Requirements and shall obtain all consents and permits required for the installation and operation thereof; copies of all such permits and evidence of such consents must be submitted to Landlord before Tenant begins to install the Rooftop Equipment. Tenant shall thereafter maintain all permits necessary for the maintenance and operation of the Rooftop Equipment while it is on the Building and operate and maintain the Rooftop Equipment in such a manner so as not to unreasonably interfere with any other satellite, antennae, or other transmission facility on the Building's roof or in the Building. Landlord may require that Tenant screen the Rooftop Equipment with a parapet or other screening device acceptable to Landlord. Tenant shall maintain the Rooftop Equipment and screening device in good repair and condition. Tenant shall, at its risk and expense, remove the Rooftop Equipment (including all wiring related thereto), within five days after the occurrence of any of the following events: (1) the termination of Tenant's right to possess the Premises; (2) the termination of the Lease; (3) the expiration of the Term; or (4)

  • Encryption The Fund acknowledges and agrees that encryption may not be available for every communication through the System, or for all data. The Fund agrees that Custodian may deactivate any encryption features at any time, without notice or liability to the Fund, for the purpose of maintaining, repairing or troubleshooting the System or the Software.

  • Interconnection If Manager desires to interconnect a portion of the Service Area Network with another carrier and Sprint PCS can interconnect with that carrier at a lower rate, then to the extent permitted by applicable laws, tariffs and contracts, Sprint PCS may arrange for the interconnection under its agreements with the carrier and if it does so, Sprint PCS will xxxx the interconnection fees to Manager.
