Transmissions. 10.1. Personal Data transmitted by the Data Processor in connection with the Service through the Internet shall be reasonably encrypted. The Parties acknowledge, however, that the security of transmissions over the Internet cannot be guaranteed. The Data Processor will not be responsible for Data Controller’s access to the Internet, for any interception or interruption of any communications through the Internet, or for changes to or losses of Personal Data through the Internet. 10.2. If any Personal Data Breach is suspected, the Data Processor may suspend the Data Controller’s use of the Service via the Internet immediately pending an investigation, provided that the Data Processor serves notice of any such suspension as soon as reasonably possible and takes all reasonable measures to promptly restore use of the Service via the Internet and cooperate with Data Controller in order to continue the provision of the Service via other communication channels. 10.3. The Data Controller shall take all adequate and reasonable actions necessary to maintain the confidentiality of Data Controller’s employees’ names and passwords for the Services. The Data Controller shall be responsible for the consequences of any misuse of the Service by any Data Controller’s employee.

Transmissions. If Nortel Networks decides to use TDI to exchange technical information, the TDI transmissions regarding such transaction shall be made in accordance with the provisions set forth in Exhibit 26 of the MCMSA.
Transmissions. A Document shall not be properly received, and no Document shall give rise to any obligation, until such Document is accessible at the receipt computer of the receiving party. If functional acknowledgment of a Document is required by any purchase order or by agreement of the parties, the receiving party shall, upon proper receipt of any Document, promptly and properly transmit a functional acknowledgment in return. A functional acknowledgment shall constitute conclusive evidence that the acknowledged Document was properly received. If any transmitted Document is received in an unintelligible or garbled form, the receiving party shall promptly notify the originating party (if identifiable from the received Document) in a reasonable manner. In no event shall such unintelligible or garbled transmission have any legal or binding effect. Each party shall select and designate, on the attached Exhibit “C,” a financial officer or management individual and a separate administrative contact individual, by name, address, telephone number or other identification and means of communication mutually agreed upon, who will serve as coordinators under this Agreement and the primary interface in connection with the permitted use of the Provider hereunder. The parties may change such designated individuals at any time, upon written notice to the other.

Transmissions. 10.1. Any material which the End User uploads, transmits or posts to the Go Shop Local App will be considered non-confidential and non-proprietary. Go Shop Local will have no obligations with respect to such material. Go Shop Local and its designees will be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes. 10.2. The End User is prohibited from uploading, posting or transmitting to or from the App any material which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).
Transmissions. (a) If either party electronically transmits to the other party any document in connection with this Agreement, then (i) that party shall use security procedures sufficient to ensure that the transmission is authorized and protected from unauthorized access, and (ii) the presence of the Electronic Signature of that party affixed to, or contained in, the transmitted document shall be sufficient to verify that that party originated and executed the document. (b) Any document electronically transmitted by either party to the other party shall be deemed to have been duly given or delivered upon receipt by the receiving party in readable form. Upon the receipt by either party of any document transmitted electronically by the other party, the receiving party shall promptly transmit to the other party a functional acknowledgment of receipt, and the transmission of the acknowledgment shall constitute conclusive evidence that the document has been received. Neither the transmitting party nor the receiving party shall have any rights or obligations with respect to any such document unless and until the receiving party has transmitted such an acknowledgment. (c) If either party receives any electronically transmitted document in an unintelligible or garbled form, then that party shall promptly deliver to the other party notice to such effect.
