Termination/Expiration Assistance Services. 34.1 Termination/Expiration Transition Plan Supplier understands and agrees that Gap’s business operations are dependent on the Services, and that Gap’s inability to receive the Services would result in irreparable damages to Gap. Therefore, upon the expiration of this Agreement or its termination by either Party for any reason, including the breach of this Agreement by the other Party, Termination Assistance Services shall be provided as set forth in this Section 34 (Termination/Expiration Assistance Services). If no Termination Transition Plan has yet been agreed to at the time of termination, the rights of Gap upon any expiration or termination of this Agreement shall be as set forth in this Section 34 (Termination/Expiration Assistance Services). If a Termination Transition Plan has been agreed to, then the rights of Gap upon any expiration or termination of this Agreement shall be as set forth in the most recent approved Termination Transition Plan, and also as set forth in this Section 34 (Termination/Expiration Assistance Services). In the event of any inconsistency between this Section 34 (Termination/Expiration Assistance Services) and the applicable Termination Transition Plan, this Section shall govern. If no Termination Transition Plan has been agreed to by the Parties at the time of any termination of this Agreement, then Supplier shall provide the professional services staff necessary to provide (1) the Services (as requested by Gap in accordance with Section 34.3 (Termination Transition Period) at performance standards and Service Levels in effect at the time of termination or expiration, and (2) the Termination Assistance Services.

Termination/Expiration Assistance Services. Upon the termination of this Agreement for any reason, or upon expiration of the Term, CGI shall provide to Kanawha the assistance reasonably requested to facilitate the orderly transfer of responsibility for performance of the Services to Kanawha or a third party designated by Kanawha, for a period of up to twelve (12) months after the termination or expiration of the Term (the "Termination/Expiration Assistance Period"); provided that Kanawha pays CGI for the resources used by CGI to provide such assistance at CGI's billing rates set forth in Schedule I (Pricing), as adjusted for cost of living increases in accordance with Section 6.5 of this Agreement. If termination of this Agreement is a result of a breach of any part of this Agreement by Kanawha, then Kanawha shall pay CGI for such assistance in advance. All such advance payments will be payable on the first day of each month (the first month's payment shall be paid on the first day assistance is to begin if it is not on the first day of the month) of the Termination/Expiration Assistance Period and in an amount equal to CGI's reasonable estimate of the total amount payable to CGI for such assistance for that month, adjusted as necessary to reconcile the estimated and actual charges for assistance provided during the prior month. CGI shall invoice Kanawha each month in advance in accordance with the preceding sentence. The assistance available from CGI shall include, but is not limited to, the following:
Termination/Expiration Assistance Services. All Termination/Expiration Assistance shall be provided in accordance with the terms and conditions generally governing Supplier’s provision of the Services hereunder. Supplier shall perform Services during the Termination/Expiration Assistance Period with at least the same degree of accuracy, quality, completeness, timeliness, responsiveness, and resource efficiency as it provided and was required to provide the same or similar Services throughout the Term, and shall ensure that the quality and level of the Services is not degraded during any Termination/Expiration Assistance Period. After the expiration of the Termination/Expiration Assistance Period for a given SOW, Supplier shall answer questions from and reasonably cooperate with Advanta regarding the Services provided pursuant to such SOW on an “as needed” basis, at Supplier’s then-standard commercial billing rates.   • Termination Assistance Services Following the termination of this Agreement and/or any Ordering Document, the Parties may agree for Axway to provide transition services pursuant to a duly executed SOW, during which time this Agreement will continue in full force and effect solely to the extent necessary to allow such transition services to be performed. Axway agrees that the costs for any such services shall be comparable to the fees charged to other customers for similar types of services.

  • Termination Assistance Upon nearing the end of the final term or termination of this Agreement, without respect to cause, the Party shall take all reasonable and prudent measures to facilitate any transition required by the State. All State property, tangible and intangible, shall be returned to the State upon demand at no additional cost to the State in a format acceptable to the State.

  • Post-Termination Assistance Upon the Executive’s termination of employment with the Company, the Executive agrees to fully cooperate in all matters relating to the winding up or pending work on behalf of the Company and the orderly transfer of work to other employees of the Company following any termination of the Executives’ employment.   • Transition Assistance If this contract is not renewed at the end of this term, if the contract is otherwise terminated before project completion, or if particular work on a project is terminated for any reason, Contractor shall provide transition assistance for a reasonable, mutually agreed period of time after the expiration or termination of this contract or particular work under this contract. The purpose of this assistance is to allow for the expired or terminated portion of the services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such services to the Department or its designees. The parties agree that such transition assistance is governed by the terms and conditions of this contract, except for those terms or conditions that do not reasonably apply to such transition assistance.   • TERMINATION OF EFT SERVICES You may terminate this Agreement or any EFT service under this Agreement at any time by notifying us in writing and stopping your use of your card and any access code. You must return all cards to the Credit Union. You also agree to notify any participating merchants that authority to make xxxx payment transfers has been revoked. We may also terminate this Agreement at any time by notifying you orally or in writing. If we terminate this Agreement, we may notify any participating merchants making preauthorized debits or credits to any of your accounts that this Agreement has been terminated and that we will not accept any further preauthorized transaction instructions. Whether you or the Credit Union terminates this Agreement, the termination shall not affect your obligations under this Agreement for any electronic transactions made prior to termination.

  • License Termination Customer may terminate the license for an ICA Program at any time on one month's written notice to IBM. For ICA Program licenses that Customer acquired for a one-time charge, replacement licenses may be acquired for an upgrade charge, if available. When Customer obtains licenses for these replacement ICA Programs, Customer agrees to terminate the license of the replaced ICA Programs when charges become due, unless IBM specifies otherwise. IBM may terminate Customer’s license if Customer fails to comply with the license terms. If IBM does so, Customer’s authorization to use the ICA Program is also terminated.

  • Services Term Unless otherwise agreed in writing, the Service that you order will start at the earlier of (a) your first use of the Service, (b) the date you purchased the Service, or (c) the start date contained in the Order Form, and, in each case, will end at the expiration of the Services Term unless sooner terminated as set forth below.
