SUBLETTING OR ASSIGNING CONTRACT. This Agreement, or any interest herein or claim hereunder, shall not be assigned or transferred in whole or in part by the Service Provider to any other person or entity without the prior written consent of the City. In the event that such prior written consent to an assignment is granted, then the assignee shall assume all duties, obligations, and liabilities of the Service Provider as stated herein.
SUBLETTING OR ASSIGNING CONTRACT. Neither City nor Consultant shall assign, transfer, or encumber any rights, duties or interests accruing from this Agreement without the express prior written consent of the other party.

The District shall not assign or subcontract any portion of the services provided within the terms of this Agreement without obtaining prior written approval from the City. In the event that such prior written consent to an assignment is granted, then the assignee shall assume all duties, obligations, and liabilities of the District as stated herein.

SUBLETTING OR ASSIGNING CONTRACT. Contractor may not assign, subcontract, sublet, or transfer this Agreement or any of the Work hereunder and/or any of its rights, duties and obligations hereunder without prior written consent of City. In the event Contractor desires to use a subcontractor in connection with the Work, Contractor must obtain the prior written consent of City for each such subcontractor. Any assignment without the consent of City shall be null and void. The general terms and conditions of this Agreement regarding the Work to be performed must be incorporated into and attached to any subcontract or assignment and Contractor shall cause each of its subcontractors and/or assignees, as applicable, to agree in writing to be bound by all the terms and conditions of the Contract Documents. Consent to subletting or assignment will not relieve Contractor of responsibility for the performance of its obligations in accordance with the terms and conditions of the Contract Documents and any amendments executed by both parties and Contractor shall remain primarily responsible for the Work and Contractor’s obligations under the Contract Documents.

In the event that such prior written consent to an assignment is granted, then the assignee shall assume all duties, obligations, and liabilities of the Consultant as stated herein. By executing this Agreement, the City is providing its written consent to the assignment of the services by the Consultant to the subconsultants specified in the Scope of Services identified in Attachment B, and the Consultant agrees to assume all duties, obligations, and liabilities of all such subconsultants under the Agreement in carrying out the assigned services. Additionally, the Consultant acknowledges it shall cause each subconsultant to provide insurance coverage that complies with all applicable insurance requirements of the Consultant as set forth in this Agreement.
