Subject to Law. (a) All rights, powers and remedies provided herein may be exercised only to the extent that the exercise thereof, including those which do not require the giving of notice, does not violate any applicable law, and are intended to be limited to the extent necessary so that they will not render this Lease invalid or unenforceable under any applicable law. All waivers, consents, confessions and releases provided for in this Lease are effective only to the extent permitted by applicable law.
Subject to Law. This Amendment was negotiated in the State of New York, which State the parties agree has a substantial relationship to the parties and to the underlying transaction embodied hereby. In all respects, the law of the State of New York shall govern the validity of and enforceability of the obligations of the parties set forth herein, but the parties hereto will submit to jurisdiction and the laying of venue for any suit on this Amendment in the Commonwealth of Kentucky.
Subject to Law and notwithstanding clause B24.1, an Authorised Person may enter the Provider’s Premises and/or the premises of any Sub-contractor without notice for the purposes of auditing, viewing, observing or inspecting such premises and/or the provision of the Services. During such visits, subject to Law and Good Clinical Practice (also taking into consideration the nature of the Services and the effect of the visit on Service Users), the Provider must not restrict access and must give all reasonable assistance and provide all reasonable facilities to the Authorised Person.
Subject to Law. Any provision of this Agreement prohibited by the laws of the United States of the State of Michigan shall be ineffective to the extent of such provision only without invalidating the remaining provisions of this Agreement. Subject to Law. (a) This Agreement is expressly made subject to the limitations of the Colorado Constitution. Nothing herein shall constitute, nor be deemed to constitute, the creation of a debt or multi- year fiscal obligation or an obligation of future appropriations by the City Council of Pueblo, contrary to Xxxxxxx X, §00 of the Colorado Constitution or any other constitutional, statutory or charter debt limitation. Notwithstanding any other provision of this Agreement, with respect to any financial obligation of City which may arise under this Agreement in any fiscal year, in the event the budget or other means of appropriations for any such year fails to provide funds in sufficient amounts to discharge such obligation, such failure shall not constitute a default by or breach of this Agreement, including any sub-agreement, attachment, schedule or exhibit thereto, by the City. City may in its sole and absolute discretion terminate this Agreement for reasons of non-appropriation immediately upon written notice without causing default or breach.
Subject to Law. This contribution is subject to the rules of the State of Minnesota Deferred Compensation Matching program and applicable federal and state laws relating to such contributions.
Subject to Law. The above exclusions and limitation of liability are subject to any applicable law restricting any such exclusion or limitation.
Subject to Law. All transactions under this Agreement shall be subject to applicable laws, rules and regulations of governmental authorities, and the applicable regulations and customs of exchanges, markets and clearinghouses. Whenever any law, rule or regulation is enacted by any governmental authority or exchange, market or clearing house which shall affect in any manner or be inconsistent with any of the provisions hereof, the provisions of this Agreement so affected shall be deemed modified or superseded to the extent necessary in order to avoid violation of such enactment.
Subject to Law. This Agreement is subject to an applicable Laws of all international foreign United States, state and local governmental authorities, regulatory bodies and courts having jurisdiction (collectively, "Governmental Authorities"). The Performance of this Agreement by both parties hereto is expressly contingent upon, and subject to, the obtaining and continuance of such Approvals from such Governmental Authorities as may be required or necessary for the purposes hereof and such terms and conditions as may be imposed therein. Each party shall use all reasonable efforts (and the other party shall cooperate with such party) to obtain in a timely manner, and maintain in effect, any Approvals that may hereafter be required by any Governmental Authority having jurisdiction with respect to such party's obligations hereunder.
