Sub-Contractors. Transfer Agent may, without further consent on the part of Customer, subcontract with other subcontractors for telephone and mailing services as may be required from time to time; provided, however, that the Transfer Agent shall be as fully responsible to the Customer for the acts and omissions of any subcontractor as it is for its own acts and omissions.
Sub-Contractors. 5.1 The Supplier shall not sub-contract any of its obligations under this Contract without the prior written consent of DFID. 5.2 If, having obtained DFID's consent, the Supplier sub-contracts any of its obligations, the sub- contract shall:- (a) provide that payments due to the sub-contractor shall be made not more than 30 days after provision to the Supplier of a valid invoice; and (b) include rights for the Supplier and obligations on the sub-contractor to ensure that DFID's rights to require replacement of personnel (as set out in Clause 4.3) and DFID's rights and the Supplier's obligations (as detailed within this contract) can be enforced against the sub-contractor.
Sub-Contractors. COUNTY reserves the right to reject any sub-contractor with or without cause. Consent shall not constitute any form of contract between the COUNTY and the sub- contractor. PURCHASER shall retain full responsibility under the terms of this contract for all work performed by PURCHASER'S subcontractors. Additionally, PURCHASER warrants that subcontractors performing work on PURCHASER'S behalf shall have those qualifications and expertise necessary to perform the work required to the satisfaction of the COUNTY.
Sub-Contractors. Where a party has sub-contracted its rights or obligations under this Agreement to any third party in accordance with Clause 7.6, references to that party in this Agreement shall, with the exception of Clause 6 and without prejudice to Clause 7.6, include references to any sub-contractor so appointed.
Sub-Contractors. 4.2.1. The Contractor shall agree with NICE the use of any sub-contractor to carry out any part of the Project Services. 4.2.2. The Contractor shall ensure that any sub-contractor it uses adheres to the obligations of this Agreement as if the sub-contractor were the Contractor.
Sub-Contractors. 7.6.1 Subject to Clause 7.6.3, the Station Facility Owner may subcontract the performance of any of its obligations under this Agreement. 7.6.2 Subject to Clause 7.6.3 the Beneficiary shall not, without the prior written consent of the Station Facility Owner (such consent not to be unreasonably withheld or delayed), sub-contract the performance of any of its obligations under this Agreement. 7.6.3 Nothing in this Clause 7.6 shall operate so as to relieve the Station Facility Owner or the Beneficiary of its obligations under this Agreement and each party shall remain responsible for the acts and omissions of any sub-contractor as if they were the acts and omissions of that party.
Sub-Contractors. (1) Contractor may engage specific technical contractor (each a "Sub-contractor") to furnish certain service functions. (2) Contractor will remain fully responsible for Sub-contractor's services. (3) Sub-contractors must be approved by the City, unless the Sub-contractor was previously mentioned in the response to the solicitation. (4) Contractor shall certify by letter that contracts with Sub-contractors have been executed incorporating requirements and standards as set forth in this Agreement.
Sub-Contractors. All subcontractors shall comply with each and every insurance provision of this Section 3.2.
Sub-Contractors. Within two months of acceptance of the tenders the contractor shall forward to the engineer a list of all sub-orders placed or intended. The contractor shall submit three copies of all sub- orders or selected by the engineer for progress or inspection. One copy of all drawings referred to in the sub-order is to be submitted unless otherwise agreed by the engineer. The drawings and sub-orders submitted to the engineer will cover all major components which are subject to electrical and mechanical pressure or stress when the material is in operation and also auxiliaries and stores which will be dispatched to site direct from the sub-contractor’s work. For the purpose of this clause inter-works orders are to be treated as sub-order. Sub-orders are to include a statement advising the sub-contractor that the items being order will be subject to inspection and test by the Engineer. It is important that all copies of such orders are clearly marked with the main contractor’s name and the following reference: Sub-Contractors are to comply with all the applicable requirements of this specification. Orders issued by the sub-contractor are also to include the main contractor’s reference on their sub– order in addition to the above–mentioned heading.
