Purchaser Warrants definition

Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

Purchaser Warrants has the meaning given it in the recitals of this Agreement.

Purchaser Warrants means the warrants to purchase one-half of one Purchaser Ordinary Share at a price of $11.50 per whole share, subject to adjustments as described in the IPO Prospectus.

• Upon issuance in accordance with, and payment pursuant to, the terms hereof and the Warrant Agreement, the Shares issuable upon exercise of the Purchaser Warrants will be duly and validly issued, fully paid and nonassessable.

• The Company has duly authorized the issuance and sale of the Purchaser Warrants to the Purchaser.

More Definitions of Purchaser Warrants

Purchaser Warrants means one whole warrant entitling the holder thereof to purchase one (1) share of Purchaser Common Stock at a price of $10.00. Each Purchaser Warrant will be exercisable at Closing and will expire at 5:00 p.m., New York time, five (5) years after the completion of the Transaction, or earlier upon redemption or liquidation.
